Contracts Professional -
You will support attorneys and business stakeholders on a variety of transactional matters,
including:
- Assisting with the review, drafting, negotiation, and execution of amendments, consents,
and other transaction-related documents
- Supporting financing, acquisition, servicing, and other strategic transactions throughout the
transaction lifecycle
- Reviewing transaction documents and helping identify legal and business issues for
escalation to lead counsel
- Assisting with due diligence, document organization, closing coordination, and post-closing
activities
- Managing and maintaining transaction records, databases, and document repositories to
ensure accurate tracking and retention of transactional materials
- Supporting legal and operational projects designed to improve transaction management
processes and document administration
- Collaborating with attorneys, business partners, and external counsel to facilitate efficient
transaction execution
- Conducting legal research and preparing summaries, memoranda, and other supporting
materials as needed
Qualifications
- JD and active bar membership in good standing
- 3+ years of transactional experience at a law firm, financial institution, or in-house legal
department
- Experience reviewing, drafting, and negotiating transactional documents, including loan
and security agreements, amendments and ancillary agreements
- General experience in one or more of the following areas: commercial transactions,
finance, corporate, real estate, lending, servicing, or other transactional practices
- Strong organizational skills and attention to detail
- Ability to manage multiple assignments and work effectively in a fast-paced environment
- Strong written and verbal communication skills
