Full Job Description

Corporate Paralegal

Position Summary

The Corporate Paralegal provides comprehensive legal and administrative support to the General Counsel and broader Legal Department. This role is integral to the daily operations of the legal function, supporting corporate governance, mergers and acquisitions, commercial contracting, securities and SEC compliance, regulatory and trade compliance, and entity management across domestic and international jurisdictions.

The ideal candidate will possess exceptional organizational skills, strong written communication abilities, sound judgment, and the ability to handle highly confidential information with discretion. This position also provides executive-level administrative support to the General Counsel.

Key Responsibilities

Draft and prepare corporate governance documents, including board resolutions, meeting minutes, written consents, officer certificates, and related corporate records.
Maintain corporate minute books, stock ledgers, and entity records for domestic and international subsidiaries.
Manage KYC, AML, beneficial ownership, and due diligence requests from banks, auditors, customers, vendors, and business partners.
Maintain and update legal entity management databases, including officer and director records, ownership structures, and annual filings.
Administer contract lifecycle management systems, tracking contract obligations, renewals, expirations, and compliance requirements.
Assist with tender reviews, contract administration, and preparation of routine commercial agreements and non-disclosure agreements.
Support mergers, acquisitions, divestitures, and other strategic transactions through due diligence coordination, virtual data room management, and closing document preparation.
Conduct corporate searches and filings with state, federal, and international regulatory agencies.
Prepare and coordinate entity formation documents, registrations, qualifications, and related filings.
Assist with board and committee meeting preparation, including agendas, board materials, board portal administration, and meeting logistics.
Draft and maintain board and committee meeting minutes and official corporate records.
Support securities and SEC compliance activities, including periodic filings, proxy statements, insider trading administration, and related reporting requirements.
Assist with compliance programs involving anti-corruption, trade compliance, sanctions screening, and corporate ethics initiatives.
Coordinate powers of attorney, notarizations, apostilles, and international legalization processes.
Support intellectual property administration, including patent and trademark portfolio management.
Assist with litigation management, subpoenas, document preservation, and discovery coordination.
Administer records retention and document management programs.
Support privacy and data protection initiatives, including GDPR and CCPA compliance activities.
Coordinate with outside counsel, vendors, and legal service providers, including invoice management and legal spend tracking.
Provide executive assistant support to the General Counsel, including calendar management, travel coordination, expense reporting, meeting scheduling, and confidential correspondence.

Qualifications

Bachelor's degree required.
Paralegal certificate from an ABA-approved program strongly preferred.
Minimum of three years of corporate paralegal experience within an in-house legal department, law firm, or similar environment.
Experience supporting corporate governance, M&A transactions, SEC filings, and multi-jurisdictional entity management.
Experience within the oilfield services industry and/or a law firm environment preferred.
Notary Public commission or ability to obtain one shortly after hire.

Technical Skills

Experience with board portal platforms such as Diligent Boards, BoardEffect, or similar systems.
Advanced proficiency with Microsoft Office Suite and Adobe Acrobat.
Experience conducting corporate and regulatory searches through state and international registries.
Familiarity with contract lifecycle management systems and entity management platforms.
Experience using virtual data rooms and e-signature platforms.
Knowledge of SEC filing processes and Section 16 reporting is a plus.

Work Environment

Professional corporate office environment with occasional extended hours and limited travel required to support board meetings, transaction closings, and other business-critical activities.

Pay: $95,000.00 - $115,000.00 per year
