Corporate Counsel, Ethics & Compliance (Global Functions & Canada)

The position reports to the Associate General Counsel, Ethics & Compliance for the Americas to help ensure the company’s Ethics and Compliance Program in Canada and the Global Functions provides employees with clear policies, solutions-oriented counseling, and efficient systems to achieve their business goals consistent with the law and the company’s expectations.
Provide compliance counseling to internal Business Units and Functions on a wide range of anti-corruption, regulatory and legal matters;
Provide counseling to internal Business Units and Functions to ensure compliance with U.S. fraud and abuse laws, such as the Anti-Kickback Statute.
Assist in the design and implementation of the Ethics & Compliance program in the Global Functions;
Develop and implement policies and procedures to support the company’s Ethics and Compliance program (incl. disclosure requirements) and to prevent and detect conduct inconsistent with the company’s policies and the law;
Drive awareness regarding the importance of compliance, identify areas of compliance vulnerability and risk, and undertake corrective plans to resolve the issues;
Develop, deliver, and oversee training relating to Ethics and Compliance and the company’s policies and the law;
Perform special assignments or projects, as assigned;
Conduct or participate in internal investigations of allegations of potential violations of company policy or the law.
Education & Experience
Juris Doctorate (J.D.) from an accredited law school
(ii) Minimum 6+ years of experience between private practice and/or in-house role in Ethics and Compliance.
(iii) Knowledge of and experience with anti-corruption, antitrust and pharmaceutical and medical device product registration, licensing and promotion strongly preferred.
Unquestioned integrity and ethics in business and personal conduct;
Familiarity with the global framework affecting the healthcare industry, such as international laws governing healthcare, interactions with healthcare professionals, institutions and government officials, antitrust and competition issues;
Excellent oral communication and inter-personal skills to inspire and influence employees at every level to embrace Baxter’s Ethics and Compliance initiatives;
Proactive in ‘reaching-out’ to people in providing advice as well as adopting an ‘open-communication’ style towards others;
Strong legal skills and mature judgment;
Demonstrated effectiveness operating in complex organizational environments and self-starter qualities that will translate well in a large matrixed organization;
Demonstrated ability to prioritize workload, meet deadlines and work with minimal supervision in a team and matrix environment; sound judgment and strong attention to detail;
Leadership abilities, with the desire, aptitude and sensitivity to involve multi-functional business leaders in Ethics & Compliance matters;
Proven ability to collaborate and work effectively with others in addressing complex issues; and
Fluency in English is required; additional regional language capabilities are preferred.
