The Legal Specialist provides professional legal support by assisting supervising attorneys in all areas of commercial transactions, including managing contracts from negotiation through implementation and maintaining accurate and complete files. On an ongoing basis, the Legal Specialist will draft and negotiate both standard and non-standard contracts. As needed, the Legal Specialist will provide support in connection with the management of special projects and other department or company initiatives. As needed, the Legal Specialist will also draft legal and business communication, provide general file and database management, gather documents and respond to litigation requests, assist with regulatory filings, and respond to customer legal inquiries.
MAJOR TASKS, RESPONSIBILITIES AND KEY ACCOUNTABILITIES
70%- Assist Corporate Counsel in drafting, reviewing and negotiating commercial contracts and various special projects
15%- Manage contract database and track contract requests and completed work
10%- Administrative work
5%- Conduct legal research and analysis
NATURE AND SCOPE
This position reports to the Senior Corporate Counsel.
This position has no direct reports.
ENVIRONMENTAL JOB REQUIREMENTS
Located in a comfortable indoor area. Any unpleasant conditions would be infrequent and not objectionable.
Typically requires overnight travel less than 10% of the time.
Must be eighteen years of age or older.
Must be legally permitted to work in the United States.
The knowledge, skills and abilities typically acquired through the completion of a associate's degree program or equivalent degree in a field of study related to the job.
YEARS OF RELEVANT WORK EXPERIENCE: 7 years
Most of the time is spent sitting in a comfortable position and there is frequent opportunity to move about. On rare occasions there may be a need to move or lift light articles.
Experience researching federal, state and local laws and regulations identified in various contracts
Experience reviewing contracts, including sales agreements and non-disclosure agreements
Experience responding to government requests-for-proposal
Strong attention to detail
Understands complex contract structures
Ability to demonstrate sound judgment in ambiguous situations
Experience using contract management systems
KNOWLEDGE, SKILLS, ABILITIES AND COMPETENCIES:
Proficiency in MS Office
Ability to work independently
