IBTS is seeking an in-house attorney for its Ashburn HQ office. This is a junior-level position with salary commensurate. The candidate will either be licensed to practice in Virginia or able to qualify as corporate counsel under Rule 1A:5. The position will report to the General Counsel and requires experience with federal, state and local contracting with an emphasis on an ability to draft, review, edit and negotiate a wide variety of prime, subcontract and commercial contracts with limited supervision. Some corporate governance and general overall corporate experience is helpful. Work with non-profits, GSA Schedules, and HUD or FEMA grants is desirable.
The position may include some or all of the following duties:
Reviewing, approving, and as needed, executing contracts/sub contracts/vendor agreements.
Developing and implementing policies, guidelines and procedures.
Assisting in defense of claims, litigation, the collection of receivables, enforcement of agreements, and representing IBTS and its subsidiaries as needed including working with other attorneys to defend and enforce the issues.
Reviewing insurance agreements and providing coverage opinions.
Performing contract administration/management duties.
Providing legal and contract guidance to management and staff.
Reviewing RFPs and other solicitations and participating in bid and proposal efforts, including writing proposal sections and providing red team and other review assistance.
Reviewing marketing literature and other correspondence.
Performing training and monitoring staff for compliance with policies and procedures and regulatory compliance.
Maintaining current knowledge of changing laws that could affect the company.
Providing legal guidance to Finance, Human Capital, Marketing, Operations, etc. as requested.
Conducting internal audits.
2-3 years’ experience as counsel for an organization of similar size, scope, and complexity while performing similar duties as required for this position.
Demonstrated interest in and command over a broad range of corporate legal topics
An ability to work collaboratively toward providing solutions that promote the company’s business while reasonably managing risks and exposures.
Good working knowledge of the FAR and other procurement regulations.
Knowledge and experience with as many of the following fields as possible:
Employment issues including terminations and EEOC claims;
Handling insurance coverage issues, claims and insured litigation;
Real property leases;
Working with or for a 501(c)(3) non-stock company and issues particular to non-profit, including Form 990 filings;
Cost Accounting Standards, working with DCAA and other government auditors, indirect rate calculations & unallowable costs;
Bid protests and making or responding to FOIA requests;
Legal research and current research tools;
Intellectual property to include license agreements, trademarks/service marks & copyright.
Experience with contract administration, government contracts, teaming agreements, vendors, typical corporate risk mitigation, risk management affairs, and conflict resolution.
Demonstrated business and financial acumen.
Excellent time management skills and the ability to management multiple projects simultaneously while meeting strict deadlines.
Strong listening skills with a client-service focus.
Exceptional communication skills; verbal and written.
An ability to handle confidential organizational matters.
Proven ability to negotiate and work with high level executives.
Strong analytic skills (financial, planning, operational).
