Position Summary:

The Manager Associate Counsel will be an integral member of the RCG legal team and will prepare review and negotiate agreements and provide strategic legal support on a broad range of topics as described below

The position will be based in the Miami Florida office and will collaborate with colleagues located in the United States and internationally

Essential Duties and Responsibilities:

Provide legal support to a number of internal departments and assist with the administration of contracts in accordance with the Company policies and legal requirements

Structure negotiate and draft agreements including service provider agreements consulting agreements non-disclosure agreements procurement contracts research and development engagements and other commercial agreements and ancillary documentation

Update and maintain contract templates and implement process efficiencies for continuous improvement of legal operations

Research review and interpret the requirements of government agencies laws statutes rules regulations and court decisions

Identify and evaluate potential business and contractual risks and propose solutions to mitigate risk

Support the management of the internal contract records management system(s)

Engage in direct communications with internal business clients

Collaborate with colleagues in the Company’s corporate development corporate tax technical accounting and audit groups

Support legal group projects and related assignments

Qualifications Knowledge & Skills:

Juris Doctor from an accredited US law school with strong academic credentials

Completion of state bar examination in July 2025 (Florida preferred); and a member in good standing of the Florida Bar or ability to register as a Florida in-house counsel thereafter

Studies/training in commercial corporate admiralty and/or intellectual property law

Strong analytical and reasoning skills excellent judgment and the ability to make decisions and assess acceptable levels of business risk

Excellent drafting ability; must draft contracts reports and business correspondence

Must be able to work independently and efficiently under time pressures and deadlines in a fast-paced environment with attention to detail

Must work with a sense of professional pride possess a strong work ethic be proactive enthusiastic and flexible and have business and personal integrity

Ability to effectively communicate legal concepts plainly and in-person

Must be highly organized detail oriented responsive and dependable

Ability to handle multiple urgent and important matters while maintaining professional but cordial relations with internal clients

Working knowledge of Microsoft Outlook Word Excel PowerPoint DocuSign and online research tools
