Primary Duties and Responsibilities:
Wespath Benefits and Investments, recognized as a 2017, 2018 and 2019 Chicago’s Best and Brightest Companies to Work For® and a 2018 National Best and Brightest Companies to Work For®, has an opportunity for a Senior Paralegal – Contracts that provides general paralegal, contract management and other legal administrative support, as assigned, for Wespath Benefits and Investments and its related companies, notably Wespath Institutional Investments. The role processes various contractual documents and records within the Legal Department, and coordinates with other departments across the organization in support of business initiatives. This role also interacts closely with colleagues in the organization’s legal and compliance functions, and across other supported business units in support of ongoing business and the development of new products, services and partnerships. This position also works on other projects as assigned to support attorneys and other functional areas of the organization.
More specifically, the Senior Paralegal - Contracts will have the opportunity to:
Support attorneys and other Legal team members in all contract matters including those escalated from other business units and internal departments.
Review and summarize contract documents, including confidentiality agreements, service agreements, purchase agreements and other legal documents, for key terms and conditions, and escalate questions and concerns to legal counsel and other subject matter experts within the organization.
Interface with other departments including Investments, Compliance, Operations and Finance as required to support contract matters.
Track and coordinate review between Legal and multiple other departments, completion, signature, execution, notarization (when needed), cataloging, and retention of contracts and related documents.
Assist in researching questions and issues, generate reports, and advise internal customers regarding applicable contract, business and legal inquiries.
Establish and improve Legal department administrative and operational functions.
Perform administrative support in preparing and distributing various memos and reports related to attorney projects, tracking legal invoices, and the department budget.
Prepare legal documents such as contracts, intellectual property filings, subpoena requests, deal closing papers and binders for review, approval, and use by general counsel and other attorneys.
Maintain a regulatory and contractual reporting and filing calendar/database and give notice to appropriate responsible parties when filings or reports are due; and help to prepare the documents necessary for new intellectual property or other regulatory filings. Ensure completion of annual corporate filing requirements.
Maintain a contract tracking system/database, and send notifications to responsible parties for contract events (renewals, terminations, deliverable dates).
Investigate facts surrounding contracts, deals, and questions or disputes related to same in support of attorneys and business owners to determine likely next steps in contract negotiations, due diligence and dispute resolution.
Assist attorneys with research to respond to benefit plan participant questions, problems, and requests with accuracy within department standards.
Participate in the education and training of Wespath staff members related to assigned functions.
Assist other functional areas with plan document research, participant record research, and organizing permanent files.
Research and analyze law sources such as statutes, regulations, law articles, and other legal authorities and prepare memoranda summarizing the results.
Bachelor’s degree or equivalent work experience.
7 years of experience in contract administration.
Working knowledge of current versions of Windows and MSOffice.
Experience and knowledge of the nuances of working with non-profit organizations.
Familiarity with or willingness to learn about the polity, structure, and governance of The United Methodist Church.
