Summary:
Purpose:
The Senior Counsel – Employment and Labor provides advice, counsel, education and strategic legal direction in the areas of subject matter expertise.

Span of Control:
A Senior Counsel may supervise an attorney, a paralegal or an administrative staff member

as determined by the General Counsel.

Position Summary:
Reporting to the General Counsel ("GC"), the Senior Counsel - Employment & Labor ("Senior Counsel") is responsible for representing the company and providing legal advice and counsel to internal clients regarding all aspects of employment law and regulation, including labor and employment relations, performance management, labor and employment policies, and employment litigation; labor disputes; employee benefits and compensation; providing training to all levels of the organization on employment and labor law matters; federal contractor compliance with OFCCP regulations; EEOC and CHRO matters and charges; diversity and inclusion initiatives; labor and bargaining initiatives and strategies, including significant union negotiations; and immigration matters. The Senior Counsel will also have responsibilities related to certain healthcare matters including contract negotiations; transactions; medical staff issues; employment and labor related matters concerning patient care issues and health care compliance and regulatory compliance matters.

The position will perform legal analysis and provide legal timely, effective and practical guidance in a fast-paced in- house setting under the direction of the General Counsel.

Responsibilities:
1.

Provide legal strategy and direction for employment and labor issues for Nuvance Health, including day-to-day advice and counsel to management, HR Business Partners and C-suite clients, litigation, arbitration and administrative action oversight, labor disputes, negotiation of all collective bargaining agreements (7

hospitals).

2.

Advise clients about the impact of recent regulatory and legislative changes and

guidance.

3.

Maintain current knowledge of federal and state health care law, with a particular emphasis on Stark Fraud and Abuse and Civil Monetary Penalty compliance. Provide guidance and counsel to network executives to mitigate risk in these

areas.

4.

Collaborate on transactional matters, particularly physician acquisitions, including advising on employment agreements.

5.

Acts as a consultant to medical staff regarding legal issues and concerns involving

patients.

6.

Participate in committees and oversee the development of Nuvance Health policies and procedures that raise employment, labor and health law

issues.

7.

Support the Corporate Compliance and Risk Management programs and provide legal advice related to compliance risk management

issues.

8.

Lead multi-disciplinary teams on matters of significance with network-wide impact.

9.

Oversee or lead complex compliance, Code of Conduct and/or employee relations investigations.

10.

Negotiate employee, executive and physician Separation Agreements and advise on contractual matters relating to physician terminations.

11.

Oversee the immigration function for the network.

12.

Attend mediations and negotiate cost-effect resolutions to administrative charges and litigation matters.

13.

Make presentations both inside and outside Nuvance Health and conducting teaching sessions for medical and professional staffs and other employees regarding relevant legal issues. Work directly with outside counsel on issues requiring specialized legal consultation and serves as liaison with outside counsel on referred legal

matters.

14.

Engage, oversee and evaluate outside counsel on issues requiring specialized legal consultation, negotiate and control legal fees and serve as liaison with outside counsel on referred legal

matters.

15.

Supervise paralegal and administrative staff

assigned.

16.

Perform other duties as assigned consistent with a lawyer with more than seven years’ experience in healthcare or related

law.

17.

Fulfills all compliance responsibilities related to the position.

Juris Doctorate

License, Registration, or Certification Requirements:
Admission to either the Connecticut or New York Bar (both preferred), or a willingness to become admitted.
