Your principal goal will be to find business solutions to a variety of our company’s transactions to comply with federal, state, and local laws & regulations, while mitigating possible legal risks and violations. This opportunity is a highly visible role that will interface with Senior Management on a variety of critical business matters.
The Staff Attorney manages the daily operations and staff of the Legal Department for PC Connection including consulting and leading all corporate legal processes, staying abreast of all new legislation, and making recommendations to keep the company compliant. A successful candidate will have outstanding negotiation and communication skills, with sharp attention to detail.
Drafts contracts and agreements as needed ensuring compliance with all statutory and legal requirements.
Reviews employment agreements including non-competes for compliance and enforce-ability.
Advises management of any accompanying risk.
Reviews customer contracts, vendor agreements and accompanying documentation for legal implications and advises senior management accordingly.
Provides legal protection and risk management advice to management.
Prepares, reviews and modifies other contractual instruments to assist and support various business activities.
Policy Development, Compliance and Risk Management:
Drafts new internal policies as needed ensuring compliance with all statutory and legal requirements.
Reviews current internal policies and procedures and advises senior management on legal implications.
Researches new or pending legislative issues or statutes for potential impact.
Communicates with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
Provides legal advice on rights and obligations of corporations.
Assists with global joint ventures, strategic partnership deals, and mergers. Collaborates with leaders within the organization to influence strategic direction of complex global regulatory policies.
Reviews advertising and marketing materials to ensure compliance with legal requirements and acquisitions.
Evaluates current processes for internal contract review and ensures that we have the proper approval processes that limit Company Liability.
Performs pre-litigation work to minimize risks and maximize legal rights.
Tracks progress of outstanding litigation and communicates with external lawyers and adviser's.
Keeps abreast of legislative changes that may affect the company and its affiliates.
Develops solutions to complex legal questions.
Provides direction and guidance on legal matters including contract administration.
Ensures timely and accurate reporting of hours for biweekly payroll.
Conducts employee performance evaluations as needed and annually.
Develops staff through professional goals and work initiatives.
Provides training to company and its affiliates on substantive.
Required Education/Experience and Legal Business Knowledge:
Degree requirements: Juris Doctor, J.D., Master of Jurisprudence, Bachelor’s degree in Law.
Licensed to practice law from the State Bar Association.
A minimum of 5 years’ experience as an in-house corporate lawyer/10 or more years of career experience.
Required to be present to perform the functions of this position.
Licensed to practice in NH. Additional licensing in MA is preferred.
Has working knowledge of commercial contract administration.
Strong knowledge of Employment Law, NDA and non-competition with ability to develop low risk, enforceable agreements.
Experienced in developing protocols to safeguard Intellectual Property.
In depth knowledge of corporate regulatory compliance specific to a sales and services environment including but not limited to export compliance.
Strong leadership, managerial, and negotiation skills.
Highly ethical with the ability to provide unbiased advice to senior level management.
Problem solver able to apply legal expertise to solve complex or sensitive problems and issues.
Discretionary with the ability to handle sensitive matters.
Active listening to gather details of complex scenarios.
Excellent written and verbal communication skills with ability to present findings and reason clearly and concisely, write opinions, contracts and other documents.
Self-motivated to research and be advised of relevant legal matters.
Proven record of providing accurate and effective legal counsel.
Proven record of value-added contract management that mitigates risk and penalties.
Good understand of working in a technical service or in the IT Services and Solutions industry preferred.
