Rosetta Stone Inc. (NYSE: RST) is seeking to add a commercial attorney to its law department who has experience advising businesses on legal issues relating to the marketing and advertising of Software As A Service (SAAS) products and services to consumers and institutional customers. This attorney may work from RST’s Arlington, VA, Seattle, WA or Concord, MA offices.
The Director, Legal & Assistant General Counsel will provide services to the entire company. The ideal candidate will work efficiently and collaboratively with in-house marketing and sales personnel, primarily by providing counsel on matters relating to the digital marketing and advertising and sales of products and services. S/he will also work with in-house business personnel in the drafting and negotiation of transactions and contracts.
Essential Duties and Responsibilities:
Principal responsibility will be advising the business on legal issues relating to the digital marketing and advertising of SAAS products and services to consumers and institutional customers and contract drafting and negotiation. However, this is presently a small legal department, so the Director, Legal & Assistant General Counsel will be called upon to contribute as needed in a variety of areas, including, without limitation:
Developing, conducting and managing policies and training programs for the marketing, sales and other departments to best ensure legal compliance and protection of RST’s interests.
Providing advice to internal clients regarding proposed transactions and strategic initiatives, interpretation of relevant statutes and current contracts, corporate and commercial law and business issues arising in conjunction with RST’s business relationships.
Supporting litigation efforts related to commercial matters.
Exercising cross-departmental leadership and excellent interpersonal skills for the purpose of building trusted relationships between Legal and its internal clients.
Researching relevant statutes, rulings, and precedents to be used as a basis for answering requests for legal opinions of a routine nature or limited scope.
Creating and maintaining templates and processes that are effective and efficient.
Working in a cost-effective manner with outside counsel, as necessary, in the above matters.
No direct reports initially. Influencing and cross-matrix working skills are essential to assign and supervise the effective completion of tasks with project teams and individuals that report directly to other supervisors.
Education: Law degree from a top-ranked U.S. law school, admission to the bar of at least one state, and willingness to be admitted to local state bar
Prior Experience: 5+ years of directly related legal experience, at a major law firm and/or in-house.
Marketing and Advertising Skills: Experience advising businesses on legal issues relating to the digital marketing and advertising of SAAS products and services to consumers and institutional customers including matters relating to pricing and promotions.
Commercial Skills: Experience in drafting and negotiating contracts in a variety of areas, such as sales, reseller and vendor agreements; inbound and outbound technology, intellectual property, and data licenses; cloud computing agreements; professional and technology services agreements; and confidentiality agreements.
Analytical Skills: Demonstrated ability to analyze complex contract interpretation questions and applicability of relevant law, current judicial interpretations; demonstrated ability to present through oral and written communications the outcome of this analysis, both when explaining complex legal concepts to RST’s client departments and when negotiating on behalf of the company.
Interpersonal Skills: Demonstrated ability to lead and manage across departmental lines on behalf of Legal and RST in order to bring deals and projects to closure. Independently motivated but thrives in a team environment. Sense of humor.
Work is normally performed in an office environment, however RST and the law department are supportive of flexible working arrangements.
Occasional travel and extended hours at times may be required.
