About the Job:
As Legal Counsel you will be a partner and trusted advisor to Samasource, drafting and negotiating a variety of agreements, as well as providing legal consultancy, participating in business decision making processes and promoting legal, regulatory, and Samasource policy compliance, all in collaboration with Samasource Headquarters and external customers and vendors. The Legal Counsel will report to the Director of Finance & Operations.
Manage legal risks within the business by providing legal support to the different departments on their (pre)contractual matters (sales, operations, marketing, finance, support, etc.).
Identify and assess legal risks and implications of different business transactions (incl. Direct Sale Terms & Conditions, RFP & Tender responses, Third Party Vendor contracts, etc.)
Provide hands-on support in structuring Samasource's global growth, in particular in the Americas.
Cooperate closely and proactively with all departments on various legal matters (HR, corporate, sales, delivery, finance.)
Draft, review, negotiate and advise on contractual engagement documents together with the Sales executives.
Provide assistance on compliance matters, e.g. set-up communication / training materials.
Interact with management and outside customers with regard to drafting and negotiating relevant and appropriate complex commercial agreements and transactions.
Set-up and support the adoption and management of a centralized legal and contracts database.
Draft and keep up-to-date a legal template database, aligned with the company's development.
Follow-up on laws and regulations affecting the business.
Create awareness amongst the organization.
Law degree from an accredited law school required
Passed to a state bar and in good standing
4+ years of relevant working experience as a qualified lawyer or in-house legal counsel
Excellent communication skills in English, both verbal and written
Solid insight into commercial law, specifically as it relates to purchasing/supply chain sales(general T&C's, VAR agreements, NDA's, vendor agreements, etc.)
Experience drafting contracts
Good understanding of compliance (in particular data privacy), corporate, IP and ICT matters
Can do attitude
Ability to work effectively on a remote basis where partners, team members, clients and counterparties are often in different locations and / or time zone

Experience in the AI industry
Experience drafting contracts for SaaS Software products
