As a member of our Americas legal team, you will, in collaboration with more experienced lawyers in the department, support a range of legal areas and clients, including corporate matters (e.g., procurement and real estate-related contracts; also some periodic litigation-related support), as well as North America-based sales and services organizations for a global enterprise software company. You will actively manage and negotiate a range of commercial agreements, including with external suppliers, partners and customers. You will act as advisor on legal issues arising in the course of the company’s business, including issues related to contract interpretation, corporate policy and regulatory compliance.
You will interact with management on corporate matters and IT, facilities and marketing teams requiring coordination across organizational lines, as well as provide leadership to internal teams in formulating partnering strategies and plans, and in defining the legal risks associated with such plans.
What will your job be?
Primary responsibilities are drafting, reviewing and negotiating vendor contracts, inbound software license agreements, services agreements, and non-disclosure agreements with customers, as well as providing occasional litigation-related and corporate support, and ensuring that contracts are executed in compliance with company policy and applicable laws and regulations.
More specifically, you will:
Work closely with procurement, finance, sales and services teams to understand applicable processes and business practices.
Identify and report potential risk associated with customer and vendor contracts, including non-disclosure and vendor services agreements
Assist with corporate governance of North American legal entities, including preparation of board and stockholder resolutions.
Perform due diligence and other support functions in connection with M&A activity
Provide support to company’s 501(c)(3) private foundation
Collaborate extensively with members of the legal team to ensure conformity of contract terms globally
Draft letters, departmental and/or company communications and other legal documents
Your key success factors
Juris Doctor degree from an accredited law school in the US
Admission to the Massachusetts Bar (or confirmed eligibility to leverage Bar admission in another state to register with the Massachusetts Bar as in-house counsel)
Work onsite at 175 Wyman Street, Waltham, Massachusetts
Consistently demonstrate the highest level of integrity without compromise with regards to ethical standards
3 to 5 years of legal experience at a law firm, in-house, or both
Experience in drafting, reviewing and negotiating contracts with suppliers/vendors (i.e., to acquire products and services)
Experience in drafting, reviewing and negotiating non-disclosure and confidentiality agreements as well as technology agreements, particularly with large, enterprise customers
Ability to prioritize and manage multiple projects simultaneously while also managing critical deadlines
Flexible, able to quickly adjust to evolving internal and external customer requirements, including deadlines
Highly organized with critical attention to details
Ability to build relationships with internal clients and legal department along with the ability to work independently and/or within a collaborative team structure
Positive, self-motivated individual with high level of enthusiasm and willingness to learn and incorporate coaching and instructions into daily tasks and assignments
Strong functional use of Microsoft Office Excel, Word & PowerPoint
Strong communication skills in two parts: 1.) very strong writing skills utilizing the rules of English grammar; 2.) verbally clear, concise, and grammatically correct oral (speaking) communication skills in English

General corporate law experience including corporate governance matters and mergers and acquisitions
Experience in software industry or with software-specific agreements, particularly enterprise license or services agreements
