The Change Healthcare Legal and Compliance Organization is seeking an experienced candidate to provide legal support across the business.
The Contract Specialist will provide legal support to the sales and business organizations through drafting various types of agreements and act as an advisor to the sales and business organizations in order to educate business clients on legal issues facing their business and processes in order to minimize Change Healthcare’s exposure and risk. As a valued member of the Legal and Compliance organization, this position has visibility and exposure to upper management in supporting a competitive business within the healthcare industry.
The Contract Specialist will work closely with and collaborate with other Contract Specialists, Counsel and other attorneys in the Business Unit (BU) and have substantial and frequent interactions with Sales and BU operational leaders.
The Contract Specialist will help lead the Change Healthcare Legal and Compliance organization to become a world-class high-performing organization.
Candidates for this position will be based in Atlanta or Nashville.
Reports to: Lead Sr. Specialist, Contract Manager, Counsel or Senior Counsel
Work through a diverse scope of issues where analysis of the information may require identification and evaluation of many relevant potential factors.
Understand and be able to communicate effectively with clients and BU customers concerning contract terms and business goals.
Proficiently draft various agreements and capture negotiated provisions in Change Healthcare contract documents with minimal attorney oversight.
Anticipate contracting issues and initiate appropriate actions to ensure contract documents are processed efficiently and in accordance with company policies and guidelines.
Handle multiple tasks and priorities in a changing business environment.
Exercise reasonable judgment within generally defined practices and policies in selecting methods and techniques for obtaining contracting solutions.
Interface with various internal business groups (Finance, Technical Accounting, Regulatory, Intellectual Property, etc.) to ensure contract documents are drafted correctly.
Conduct research as required to complete the contract documents including repository systems or other repository locations.
Participate on special project teams for the creation of tools, documents, and processes to enable improvements as needed.
Update and maintain various internal reporting systems. Adherence to process is critical and developing updates to process may be necessary from time to time.
Manage or participate in moderately complex projects involving multiple stakeholders through to completion in a timely, efficient, and collaborative fashion.
Drafts and reviews contracts and provides guidance on contract standards
Identifies, analyzes, researches and resolves legal and business process issues and makes appropriate recommendations
Participates in contract negotiations
Identifies risk, determines the level of risk and routes appropriately
Recommends, develops and/or implements contracting policies, procedures and processes
Monitors compliance with internal business and legal processes and policies
Prepares presentations for the attorneys and presents to senior leaders, as applicable
Prepares contract summaries and/or issues lists to present to attorney, senior law leaders or clients for review, if applicable
Consults on legal provisions within the contracts
Demonstrates comprehensive understanding of business units, products, strategy, and operational model

Office 365 suite and Adobe required. SalesForce, Apttus, and SharePoint skills preferred.
Minimum 4-year degree or 3-5 years of direct contract drafting; software licensing, intellectual property or healthcare industry experience preferred.
