Duarte is looking for part time flexible California lawyer for contract help. This role would understand the business and our contractual concerns when vetting contracts. Requires on average 10 hours per week. The role will review client contracts (MSA/NDAs) and vendor contracts. This position can work from home anywhere in the state. Keep a master database of terminology for template-based standard language for high reuse.

This role would manage the legal calendar with pertinent dates to company such as company filings, leasing agreements, trademark maintenance and that agreements are up to date and filed on time. Ensure final copies of contracts are collected, filed and tracked in an organized manner.

MSA review and negotiation to include but not limited to:
  • Review and propose change to client and vendor contracts before it signs, analyzing all clauses, stipulations, obligations and liabilities to ensure they suit the company.
  • Must be familiar with city, state and national contract laws to verify that the company is in accordance with laws and compliance.
  • Ability to negotiate pricing or terms with the other party.
  • Review and recommend insurance needs based on MSAs
SOW review and negotiation to include but not limited to:
  • Respond to client edits regarding our SOW terms agreements.
  • Recommend appropriate terms for SOW working as liaison between accounting and account services team.
  • Have a good understanding of company's Intellectual Property and be able to negotiate retention of IP in the terms.
NDAs review and negotiation to include but not limited to:
  • Review NDAs as a mutual prior to signatures.
Duarte, Inc. Board Meetings:
  • Responsible for drafting corporate minutes, corporate filings, Secretary of State filings and statement of information.
  • Track company developments and inter-corporate agreements for corporate minutes.
  • Have a good understanding of company's Intellectual Property and be able to negotiate retention of IP in the terms.
Required education and experience:
  • State of California law degree.
  • 5 years experience in similar role.
