The Senior Counsel will work with colleagues in the Corporate section of a large corporate law department in a publicly traded, international energy company.

Responsibilities may include:
Treasury and Finance

Providing legal advice and services to the Finance / Treasury department regarding all types of corporate financing including:
Asset Purchase and Sale Financing
Aviation Financing
FAA Regulatory and Compliance
Corporate Bank Credit Facilities
Real Estate Lease Financing (Synthetic and Operating)
Mergers & Acquisitions
Treasury Policies
Trust Investments
Commercial Marine Treasury Related Matters
Treasury Services (Bartlesville)

Advising on legal aspects of corporate services such as:
U.S. Corporate Card Program
Canada Corporate Card Program

Providing finance legal support and advice to Tax Group (attorneys) regarding:
Asset and Equity Dispositions
International Financing Arrangements
Canada Debt Issuances
Canada Subsidiary Restructurings
Canada Upchain Cash Movement & Positioning
Other Domestic Tax-Related Projects
Investor Relations & Communications

Providing legal support and advice to and regarding the following organizations and/or processes:
Community Relations Group
Corporate Contributions
Employee Giving Programs
Special Events and Sponsorships
Non-Profit Matters
University Relations

Provides legal support and advice regarding the following corporate functions and processes:
Authority Limitations
Retention Codes
Confidentiality Agreements
Corporate Secretary Support
Delaware Law Support
Document Retention Codes
Legacy Company Discontinued Operations


Legally authorized to work in the United States
J.D. degree from a law school accredited by the American Bar Association
Admission to the Bar of the State of Texas or other appropriate jurisdiction
10+ years of legal experience with corporate matters

Working knowledge and experience providing legal advice and services in connection with corporate financings commonly undertaken by a large international company
Working knowledge of securities laws
Ability to exercise judgment and discretion regarding confidential and sensitive matters
Excellent negotiation, presentation, collaboration and diplomacy skills
Mature judgment and discretion
Ability to manage and prioritize assignments which may be broad in scope and complexity and which involve collaborative work with employees in different departments and/or with varying degrees of seniority
Excellent written and oral communication skills
Ability to work well under pressure, meet deadlines and function independently without extensive supervision
Ability to learn quickly and apply company policies, procedures, operations and industry practices
Ability to easily and effectively communicate with Legal management and internal business clients
Ability to work within broadly defined objectives
