About the Role: W. L. Gore & Associates, Inc., a privately held corporation incorporated in Delaware, seeks an Assistant Corporate Secretary (ACS). The ACS needs to be capable of assuming the Corporate Secretary role in 2-4 years, including handling interactions with shareholders. The ACS needs to work well in organizations and with people, have a customer service mindset, and be organized, efficient, on top of details and able to run a good office. The ACS will be working in an office of 4-5 people, led by the Corporate Secretary. This role involves working with Gore's General Counsel and the legal team, as well as the board chair, directors and shareholders.

Responsibilities :
Supporting the Corporate Secretary function by drafting board documents, meeting minutes and assisting with meeting scheduling and logistics on an as-needed basis
Assuring corporate governance and maintenance for assigned subsidiaries (U.S and ex-U.S.) and statutory documentation, such as amendments to constitutional documents, minute excerpts and various required registrations
Assisting in managing shareholder relations and share transactions
Working with the Corporate Secretary and legal team to comply with Anti-Money Laundering and Know-Your-Customer requests and requirements
Monitoring corporate governance developments and best practices, and assisting the board in tailoring governance practices to meet the board’s needs
Advising and assisting in systems and process improvements for carrying out all of the above
As expertise and familiarity with the organization increases, advising internal clients on corporate governance or entity governance matters

Required Qualifications:
Juris Doctor (JD) degree
Minimum of 5 years’ experience as a practicing attorney
Working knowledge of Delaware corporate law
Admitted to a U.S. state bar as an active member
Experience with corporate/legal documentation (examples include constitutional documents, board materials and minutes, and corporate housekeeping and governance documents)
Excellent written communications, including legal/business, writing skills
Meticulous attention to detail and highly organized
Excellent interpersonal and communication skills and a customer service mindset

Desirable Qualification:
At least 3 years' experience as a Corporate Secretary or Assistant Corporate Secretary
