Reports to: Director of Legal & Corporate Development

Job Description

Dynamic role reporting to the Director of Legal & Corporate Development, involving frequent interaction and collaboration with company leadership, external partners, and outside counsel.

Job Roles and Responsibilities:
Contract Lifecycle Management
Support maintenance of a contracts database and lifecycle management system; provide regular updates of key contract deadlines / auto-renewals / and projected expirations
Support maintenance of library of standardized form documents, contract clauses, and templates
Develop and maintain financial and legal obligation trackers for in-licenses and agreements
Manage flow of contracts through review and approval process
Manage negotiation, execution and filing of confidentiality agreements
Corporate Governance and SEC Reporting
Support Legal and Finance teams in preparing and filing periodic reports with the Securities and Exchange Commission, including 10-Ks, 10-Qs and 8-Ks
Support our annual proxy statement and annual meeting process, including interfacing with our Finance, HR and other internal teams, proxy solicitors, and outside counsel
Prepare and maintain board records, including assembling board and committee packages, maintaining board and committee annual task schedules, and coordinating meeting agendas
Assist with the preparation and filing of Forms 3, 4 and 5 and proxy statements
Healthcare Compliance
Work closely with Rocket’s Compliance Officer to develop appropriate policies and processes for ensuring compliance with applicable law and industry standards for interaction with patients and healthcare professionals
Assist with daily operations of the compliance system

IP Portfolio Management:
Support Business Development and Business Operation group to maintain and update IP docket and tracker for all patents, trademarks, and related IP filings
Corporate Development and Strategic Transactions
Support due diligence for corporate transactions
General operational assistance for Legal, Compliance and Corporate Secretary functions, and any other tasks as assigned

Job Requirements:
Excellent written and verbal communication skills
Proficiency with Microsoft Office suite, including Word, Excel and PowerPoint
The ability to prioritize multitask, while effectively planning future activities
A strong sense of professionalism and discretion
Attention to detail
2-4+ years of corporate paralegal or contracts management experience either in a law firm or in-house environment
