Responsible for providing and, where appropriate, managing the provision by external counsel of high quality legal services and undertaking the coordinated management and mitigation of legal and compliance risks throughout the PGMS business within the Efficient Natural Resources Sector in the Americas and, together with the Legal Counsel for Catalyst Technologies, carrying out the same activities for the AGT business in the Americas.

Key Responsibilities

Provide the full range of legal advice to the Platinum Group Metals (PGMS) business in the Americas. The role will also involve providing legal advice to the Advanced Glass Technologies (AGT) business in the Americas but this will be shared with the Legal Counsel - Catalyst Technologies Americas. PGMS and AGT are “the Businesses”.
Build and maintain close relationships with the senior members of the Businesses. Understand the strategic objectives of the Businesses in order to provide risk-based and focused legal advice.
Draft and negotiate a variety of legal documents and commercial contracts both in the US and internationally in the Americas. This includes complex commercial transactions, sale/purchase agreements for both goods and services, ISDAs, metal lease agreements, including forward sale/purchase of precious metals, metal trading, distributor/agency agreements, joint development agreements, contractor terms, real property agreements and various international deals. All aspects of such commercial arrangements are covered, including competition, IP, tax and employment.
Develop a good knowledge of the legal aspects of PGM refining, trading and financing.
Work closely with other members of the PGMS and AGT legal team and IP team globally to ensure global consistency in legal and compliance risk management for the Businesses.
Provide, manage or coordinate (as appropriate) advice to the Businesses in respect of ethics and compliance matters working closely with Group Ethics and Compliance.
Promote JM’s Code of Ethics within the Businesses and an approach to doing business that reflects JM’s commitment to doing business ethically, in accordance with its values.
Provide legal and compliance training to the Businesses (ABC, Competition and Sanctions).
Support merger and acquisition projects in the Businesses in the Americas.
Implement a wide range of improvement projects within the legal team and within the Businesses.
Implement and maintain standard form documents and procedures.
Manage with support from specialist counsel dispute and negotiation of dispute settlements / litigation management.
Manage specialist legal services provided by external firms, such as non-UK advice on corporate, commercial, litigation, employment, tax, IP, property and environmental law, settling budgets for advice presented by these firms and managing that legal spend.
To take on any other duties which are within the employee’s skills and abilities whenever reasonably instructed.

Are you the ideal candidate?
Possess strong academic credentials including a juris doctor degree and must be a member of a state bar in good standing, Pennsylvania admission ideal
At least 5 years broad legal experience gained either in a leading firm or in an in-house role and current practising certificate
Previous experience of working in an international environment
Experience of working across multiple business units simultaneously
Experience dealing with Compliance matters
Experience dealing with financial instruments/trading/financial regulation
Exposure to intellectual property and competition law
Corporate legal experience
Experience of the chemicals and/or precious metals industry
Excellent communication and presentation skills (oral and written) to a range of people including those at a senior level.
Excellent interpersonal and negotiation skills and commercial awareness.
Enthusiastic and positive approach.
Good judgment of legal and commercial risk
Team player with the ability to build strong relationships and trust and confidence with a wide range of audiences
Resilience to handle matters independently in short timescales and to take and explain difficult or unpopular decisions
Ability to handle and simplify complex commercial and legal matters, identify and focus on key issues and provide pragmatic solutions
Strong drafting skills and ability to prepare documents which address both commercial requirements and mitigation of risk
Be flexible and well organized, able to manage multiple tasks and to adjust priorities regularly to meet critical deadlines
