Job Description Summary:
The Director, Assistant General Counsel will draft and negotiate contracts, provide legal guidance in the area of health care regulatory compliance, assist in managing litigation and other disputes involving the company, and perform such other responsibilities as assigned by the General Counsel. The position reports to the General Counsel.
Draft and negotiate a variety of commercial contracts, including, but not limited to, pharmaceutical purchase agreements, payer agreements, network provider agreements, business associate agreements, IT agreements, real estate contracts, NDAs, and agreements with vendors and service suppliers to the company.
Provide timely and effective counsel to company management in the area of health care regulatory compliance.
Assist with managing the defense of litigation against the company, including the oversight of outside litigation counsel representing the company.
Provide legal guidance and support in connection with other areas of law and special projects, as assigned by the General Counsel.
Effective supervision of the work of paralegals and/or administrative support staff on specific projects and work assignments.
Does this position have supervisory responsibilities? No.
(i.e. hiring, recommending/approving promotions and pay increases, scheduling, performance reviews, discipline, etc.)
Basic Education and/or Experience Requirements:
Juris Doctor Degree
License to practice law in the State of Illinois
Minimum of five (5) years’ experience as a practicing attorney
Proven record of success working in an in-house setting or law firm practice.
Experience successfully supervising the work of paralegals and administrative support staff.
Experience in identifying legal issues and recommending/implementing solutions to those issues.
Ability to communicate effectively, both verbally and in writing, to various audiences within and outside of the company.
Travel Requirements (if any):
Occasional travel for business purposes.
Preferred Qualifications & Interests (PQIs):
Minimum of five (5) years’ experience representing the legal interests of public and/or privately held businesses, preferably in the health care sector.
