The Contracts Manager provides support and guidance to the organization in the review of contracts and provides authoritative guidance to internal business teams relating to contract activity. This position will participate in all facets of contract formation and contract management including drafting, interpretation, negotiation, contract review and administration and will serve as the focal point for all communication related to contracts with legal counsel.

Duties Include:
Draft, review and revise contracts to protect company against risks resulting from business transactions. Ensure contractual documents and terms comply with company policies and all applicable laws.

Provide interpretation of terms and conditions. Advise internal stakeholders on risks.

Negotiate agreements with vendors and suppliers. Minimize risk in negotiation of contracts.
Collaborate with clients to identify and structure licensing options and agreements for the use of company intellectual property.

Consult with internal and external stakeholders (clients, vendors, departments) regarding the development of materials and solutions that promote and provide access to intellectual property.

Collaborate with business units, vendors and legal counsel for the resolution of contract issues and disputes. Manage the legal budget and track expenditures accordingly

Organize and manage contract change control. Track expiration dates, auto renewal terms, etc.

Identify, develop, and implement new contract templates, policies and processes.

Obtain and maintain copyrights, trademarks, patents and other legal protections; determine when to apply for such legal protections. Track current protections and monitor expiration dates.
Requirements include a Juris Doctorate, MBA or other related graduate level degree; minimum 5 years of experience in contracts management and negotiation and intellectual property law. Knowledge of international law and understanding of laws and regulations impacting healthcare preferred.
