Role / Title
The Antitrust/Commercial Counsel will provide legal advice under U.S. and state antitrust laws across Kraft Heinz’s U.S. functions and business units.
The position, based out of Chicago, will work with the Company’s Sales and Revenue Management teams as well as cross-functionally with other legal functions
This position requires in-depth knowledge and experience assessing and advising business clients on antitrust law.
Key Components of the Role
Knowledge and experience advising business clients on federal antitrust laws including the Sherman Act, Clayton Act, and the Robinson-Patman Act, as well as equivalent state laws.
Substantial practical experience counseling on compliance with the Robinson-Patman Act with respect to (i) pricing/discounts and (ii) promotional allowances and services.
Knowledge and experience assessing and advising on:
- Loyalty programs,
- Packaged/bundled discounts
- Tying arrangements
- Exclusive dealing/distribution arrangements
- Distribution and/or dealer agreements
- Promotional programs
- Minimum advertised price programs
- Cooperative advertising programs
Ecommerce and shopper marketing
Meets Competition situations
Fred Meyer Guides
Price gouging laws and pitfalls
Joint Business Planning agreements with customers
Bidding for business against customers or suppliers who are also KH competitors
Experience with establishing and maintaining guidelines and guardrails and administration of internal and external policies and procedures
Experience training business personnel on the issues identified above
Understand client’s strategic objectives and to provide legal advice and solutions aligned with those objectives working as a partner to help achieve goals lawfully and effectively mitigating risk
Minimum 7-8 years combined law firm and in-house experience
Excellent communication (in everyday language, not “lawyer speak”) and people skills
JD degree from an accredited law school; member of the Illinois State Bar in good standing.
Superior written and verbal communication skills.
Exceptional organizational and time management skills with the ability to prioritize, coordinate and satisfy numerous competing demands.
Strong interpersonal skills and a commitment to professionalism and integrity.
Self-motivated and ability to complete matters without supervision; must be able to work independently and be execution-oriented.
Excellent business judgment with the ability to provide sound legal advice which reflects an understanding of Kraft Heinz’s overall business objectives.
