SALARY RANGE: $77,150 - $100,470
Base salary is determined by the knowledge, skills and abilities of the applicant.

CLOSING DATE: This position will close on September 28, 2018.

LOCATION: Rapid City, SD

PRIMARY FUNCTION:
Under supervision and direction, this position provides a full range of legal counsel and services across the company, ensuring compliance with laws, rules and regulations, and contractual arrangements, and otherwise supports the corporation’s business operating activities. This position will also provide general legal support for legal requirements relating to corporate governance, finance, credit and SEC reporting.

REPORTING RELATIONSHIP: Senior Managing Counsel or Managing Counsel

ESSENTIAL JOB FUNCTIONS:
Investigate, research, and provide legal advice concerning a broad range of issues and circumstances which arise in the company’s day-to-day business activities.
Provide management with legal support related to utility and/or non-regulated operations and regulatory and compliance concerns.
Provide support for corporate and administrative functions, including corporate finance, procurement, governance, securities law compliance and reporting, human resources, service contracts, real estate, etc.
Provide management with legal support related to contract administration and performance.
Provide management with legal support related to acquisitions, divestitures, joint ventures and other strategic partnerships, and development and operation of company-owned operating assets and facilities.
Draft and review legal contracts and documents for compliance with legal requirements and corporate interests.
Draft and negotiate letters of intent; asset purchase agreements; stock purchase agreements and joint venture agreements; engineering, procurement and construction agreements; power purchase and sale agreements; gas and coal supply agreements; and similar or related agreements.
Develop, review and assist in implementing corporate governance and compliance policies and procedures.
Review and interpret legislation, rules and regulations ensuring company personnel are aware of and in compliance with applicable laws.
Work with and assist in the supervision of outside counsel.
Participate in negotiation and preparation of project financing or credit arrangements, and general financing or credit arrangements for the corporation and its subsidiaries.
Participate in the Corporate Development Department’s planning, development and administrative tasks, including due diligence examinations, site visits and closing activities.
Assist Senior Corporate or outside counsel in representing the company in courts, regulatory agencies and other adjudicating or adversarial proceedings.

ADDITIONAL RESPONSIBILITIES:
Support and comply with corporate policies, goals and objectives.
Participate and represent the company in civic, professional and industry-related activities.
Develop and maintain effective working relationships with internal and external clients.
Perform other tasks as assigned.

Legal, Compliance and Governance Departments.
Corporate Administration Departments.
Business unit leaders and co-workers.

EXPERIENCE:
0 - 3 years of experience in the practice of law.

EDUCATION:
Juris doctor from ABA accredited law school.

CERTIFICATIONS/CREDENTIALS:
Licensed to practice law in Nebraska, Iowa, Kansas, Colorado, South Dakota, and/or Wyoming.
