We are seeking a dedicated and detail-oriented Senior Paralegal or Junior Attorney to join our team. This role is pivotal in ensuring compliance with regulatory frameworks, managing contract-related tasks, and supporting our legal initiatives within the private equity sector. The ideal candidate will possess strong legal research skills, a foundational knowledge of contract law, and proficiency in Microsoft Office 365 and Adobe Acrobat.
Key Responsibilities:
- Private Equity Fund Compliance: Assist in ensuring compliance with applicable regulations, including Reg D, Rule 506(b), and Reg A.
- Federal/State Regulatory Compliance: Support compliance efforts related to Federal Trade Commission (FTC), Federal Communications Commission (FCC), and state-specific regulations (UDOC, UDCP).
- Contract Management: Draft, review, revise, and manage contracts, ensuring alignment with legal standards and organizational policies.
- Liaison with Outside Counsel: Coordinate with external legal counsel to facilitate legal processes and ensure effective communication regarding ongoing matters.
- Pre-Litigation and Litigation Support: Provide comprehensive support in pre-litigation and litigation processes, including document preparation, research, and case management.
Qualifications:
- Bachelor’s degree in Legal Studies, Business, or a related field (Senior Paralegal) or Juris Doctor (Junior Attorney).
- Proven experience in legal research and compliance within the private equity or financial services sector.
- Knowledge in drafting, reviewing, and editing contracts, particularly regarding Partnerships, Consult for Equity Agreements, SAFE agreements, and PPMs
- Basic understanding of contract law principles.
- Proficiency in Microsoft Office 365 and Adobe Acrobat.
- Strong analytical skills and attention to detail.
- Excellent written and verbal communication skills.
- Ability to work independently and collaboratively within a team.
