Skadden is seeking an experienced professional to manage the operations of its Corporations Department in the Wilmington, Delaware office. The Corporations Department serves as a liaison between the Secretary of State and Firm attorneys and clients and plays an instrumental role in facilitating filings and providing research and assistance to the Firm's transactional and litigation practices. The Corporations Department also identifies and resolves business compliance issues and provides annual compliance notification and assistance in all jurisdictions. The Corporations Department Manager leads a team of corporate and compliance analysts located in the Wilmington, Delaware office. In carrying out the duties and responsibilities of this position, the Corporations Department Manager interacts on a daily basis with the Firm's partners, counsel, and associates. Qualified applicants must demonstrate leadership, creativity, and problem solving capabilities. Knowledge of Delaware corporate law and procedures and an understanding Secretary of State filings, processes, and procedures is a plus. This is a JD preferred position.
This full-time, exempt managerial position performs the following functions:

Liaise with Secretary of State and Provide Assistance to Attorneys and Clients with Secretary of State Filings, Procedures and Document and Information Retrievals:

Liaise with Secretary of State, staff, and other governmental employees to address issues relating to filings nationwide

Provide guidance and assistance to attorneys and clients utilizing business entity laws

Handle requests for filing assistance with secretary of state offices

Provide documentation necessary for deal closings

Calculate and process franchise tax payments in connection with annual compliance, conversion and merger filings

Utilize state database systems to research and obtain information regarding specific business entities

Utilize written, in person and telephone communications to develop and maintain effective rapport with contacts at secretary of state offices when needed to assist in critical situations involving filings that are planned or pending

Handle miscellaneous requests for information and assistance with various matters

Management of Department:
Manage staff, including training, allocation of coverage and specific assignments to ensure accurate and timely responses to requests for departmental services

Prepare and annually review department budget

Develop and maintain connections to state information systems, participate in quarterly, annual and other focus group meetings with key state staff from Delaware and other jurisdictions

Review legislative and policy matters for various states; communicate policy changes desired of and made by state offices that are applicable to firm needs

Develop and maintain boiler and precedent documents

Handle billing matters, respond to administrative inquiries relating to activities of department

Research and obtain entity information for Know Your Client protocols.

Receive and forward copies of service of process

Liaise with Legal Technology staff to develop and maintain electronic department records system

Manage Commercial Registered Agent operations of Skardel LLC, which represents Skadden, Arps, Slate, Meagher & Flom LLP and all affiliate entities in Delaware as well as the companies formed for or on behalf of partners and their family members and retired partners

Oversight of compliance of Skadden, Arps, Slate, Meagher & Flom LLP and affiliates with all states in which the LLP and other entities are registered

Qualifications
ESSENTIAL KNOWLEDGE, SKILLS, ABILITIES AND OTHER JOB-RELATED COMPETENCIES:

Knowledge of Delaware corporate law and procedures

Current knowledge of industry best practices, trends and techniques

Knowledge of relevant firm computer software programs (e.g., Outlook Excel, PowerPoint), with the ability learn new software and operating systems)

Knowledge and implementation of the annual budget process

Demonstrates effective interpersonal and communication skills, both verbally and in writing

Demonstrates close attention to detail

Excellent analytical, troubleshooting, organizational, and planning skills

Demonstrated experience with leading and supervising others

Ability to administer Firm policies and procedures

Ability to handle multiple projects and shifting priorities

Ability to handle sensitive matters and maintain confidentiality

Ability to organize and prioritize work and delegate effectively

Ability to work well in a demanding and fast-paced environment

Experience/Education
JD Preferred

Bachelor's degree

Minimum of five years Paralegal/Legal Assistant experience and two years supervisory experience
