Staff Attorney - Irvine, CA

Skyworks Solutions, Inc. is seeking a talented lawyer to join the Skyworks legal team as a Staff Attorney (actual title will be based on experience). This position is based in Irvine, California, and will report to the Vice President and Deputy General Counsel of Skyworks. The successful candidate will be able to work collaboratively as part of a small, fast-paced legal team, effectively managing multiple projects and priorities simultaneously.

Key Responsibilities:
Oversee, and/or provide assistance with, a wide variety of corporate and contractual matters, including, but not limited to the following:

Draft, review, and negotiate agreements in support of corporate services, such as information technology, HRIS, cloud application/SaaS agreements, leases and other commercial real estate matters, intercompany agreements and other corporate transactions
Draft, review and negotiate commercial contracts in support of Skyworks’ sales organization and business units, such as non-disclosure agreements, rebate agreements and agreements with channel partners
Draft, review and negotiate corporate contracts in support of Skyworks’ defense and aerospace business, including managing applicable FAR/DFAR flow-down provisions
Prepare and assist with filing corporate documentation, including the formation, consolidation, and dissolution of corporations, partnerships, and limited liability companies in the United States and foreign countries
Perform such other tasks as necessary, or as assigned by legal department management
Some domestic and international travel may be required (up to 10%)

Potential Additional Responsibilities:
Based on experience, the Staff Attorney may also be involved in one or more of the following areas:

Resolve business disputes and regulatory inquiries, working with outside counsel
Implementing and maintaining compliance policies
Drafting and delivering training materials and presentations
Qualifications & Experience

Two to five years of related experience
At least two years of corporate transactional or commercial contracting experience at a law firm or in-house is preferred
In-house experience at a global, public technology company is a plus
Specific experience with agreements relating to information technology, confidentiality, real estate leases, intercompany agreements or similar corporate transactions is preferred
Specific experience with government contracting and FAR/DFAR compliance is a plus
Experience using or administering third-party document management systems is preferred
Experience in a global business environment is a plus
Highly skilled in standard office software (MS Office, Excel, PowerPoint, etc.)
Fast learner able to grasp new concepts and process information quickly
Excellent oral and written communication skills
Must be able to juggle multiple priorities and tasks in a fast-paced environment
Collaborative team player, with a high attention to detail
Sincere interest in the intersection of business and law
Required Education and Licenses

JD from a well-regarded U.S. law school
Member of the California State Bar in good standing (or eligible to practice in California as registered in-house counsel)
