Community Health Systems ("CHSPSC, LLC") is one of the leading operators of general acute care hospitals. The consolidated organization owns and leases community hospitals that offer quality, cost-effective healthcare including a range of inpatient medical and surgical services, outpatient treatment and skilled nursing care. In over 60 percent of the markets served, CHS-affiliated hospitals are the sole provider of healthcare services.

CHSPSC, LLC seeks a Corporate Counsel for its Franklin, TN, headquarters’ In- House Legal team.

Position: Corporate and Securities Attorney

Summary: Advises corporation concerning legal rights, obligations, and privileges by performing the following duties.

Essential Duties and Responsibilities include the following. Other duties may be assigned.

Attorney will advise and assist with acquisitions, joint ventures and other forms of business combinations involving hospitals and health systems, surgery centers and other outpatient centers, physician groups, and private equity clients in a variety of transactions, as well as handle related matters such as due diligence and closing actions.
Attorney will advise and assist with private placements of securities, including managing the legal aspects of the day-to-day operation of joint ventures with physicians, non-profits and other third parties.
Attorney will advise and assist on matters of corporate governance, compliance and organizational structure.
Attorney will maintain, review and negotiate confidentiality agreements.
Attorney will work closely with colleagues in the legal department and other internal corporate and development groups, as well as be responsible for managing his or her outside counsels.
Attorney will assist with transactions involving the company’s credit facility and secured debt, including supporting activities related to any amendments, extensions, refinancing, etc. and due diligence activities associated with such transactions.


Attorney must have a minimum of three (3) years of transactional experience either with a law firm or in-house experience with a large corporation. He/she must be able to work on multiple transactions simultaneously, be well-organized, and be able to work independently. In addition to the required transactional experience, the best candidate will also have experience with Stark Law and Anti-Kickback Statute, False Claims Act, and other related state and federal regulatory requirements that arise throughout the course of healthcare M&A, joint ventures, financings and offerings.

Language Ability:
Ability to analyze and interpret complex documents. Ability to clearly communicate verbally and in writing.

Math Ability:
Ability to work with mathematical concepts such as probability and statistical inference, and fundamentals of plane and solid geometry and trigonometry. Ability to apply concepts such as fractions, percentages, ratios, and proportions to practical situations.

Reasoning Ability:
Ability to apply principles of logical or scientific thinking to a wide range of intellectual and practical problems. Ability to deal with nonverbal symbolism (formulas, scientific equations, graphs, musical notes, etc.,) in its most difficult phases. Ability to deal with a variety of abstract and concrete variables.

Computer Skills:
To perform this job successfully, an individual should have knowledge of Word Processing software; Spreadsheet software and Database software

Juris Doctor (J.D.) required. Must have top academic credentials. TN law license in good standing preferred.
