Job Description
Brooks Automation is a leading global provider of automation and cryogenic solutions for multiple markets, primarily serving the semiconductor capital equipment market and the sample management market for life sciences. Since 2011, we have made over ten acquisitions, and have deployed over $450M for acquisitions. These acquisitions were financed by cash on hand, which were enabled by our strong operating cash flow. In 2017, Brooks entered into a $200 million revolver to increase its capability to make acquisitions. We are searching for a Senior Finance Manager M&A to provide accounting and finance leadership during key pre and post acquisition processes. Key support activities include:

Pre-deal Acquisition Support:
Facilitate/lead financial due diligence process , working with Segment CFO’s, Sr. Director of Tax, Corporate Controller, external advisors, target representatives
Facilitate/lead purchase price allocation process
Develop and lead acquisition integration roadmap
Support Segment CFO in developing financial business model for acquisition candidates
Perform SX-305 testing and manage process to meet SEC Compliance as a result of the testing

Accounting Support:
Support Chief Accountant in determining purchase price allocation and opening balance sheet
Test valuation assumptions (ie: Customer relationship assets, completed technology, inventory and fixed asset valuations, in process R&D)
Support Chief Accountant in determining fair value amortization/depreciation schedules
Assist head of Technical Reporting in preparing footnote disclosures related to M&A
Participate/assist in writing technical white papers related to transactions
Ensure 404 Controls; prepare 404 memos for all acquisitions. Provide support to internal and external auditors

Post-deal Acquisition Support and Integration:
Map target company’s trial balance to Brooks HFM trial balance structure
Project leader (Finance) in integrating Brooks policies, procedures, reporting to ensure internal reporting, SEC, and SOX compliance. Includes assisting target companies to adopt policies and procedures
Work with Corporate Controller and Legal department in preparing post deal working capital adjustment calculations
Establish and maintain post acquisition performance metrics

Skills/Qualifications:
BS in Finance or Accounting with 5-8 years experience in public accounting or industry. Transaction services experience a plus.
Technical accounting, CPA
Ability to establish and drive process
Project Management in a matrix environment
Financial modeling
Operational experience in process improvement and integration
Thought leadership
Self starter

Other:
Travel expected to be 30-35%
