We are seeking a Corporate Counsel with 5+ years of experience in negotiating State, Local and Federal contracts involving software licensing, SaaS and professional services to join our dynamic legal team. This is a great opportunity to join a growing legal team and work on cutting edge issues in an exciting, fast-paced environment. This is a full-time position and is based in our Vienna, Virginia office.
What you get to do in this role:
Support the business in government contract & subcontract formation, administration, and compliance issues
Work with the Federal and State & Local business teams to review, draft and negotiate nondisclosure, teaming, and subcontractor agreements
Collaborate with finance, sales operations, deals desk, product operations, support, security and other business units at all levels throughout the organization to ensure that standard positions align with corporate objectives and operational policies and processes
Review and negotiate complex public sector enterprise sales contracts and counsel the business team to ensure that contracts meet the company’s policies, legal positions, and risk tolerance
Demonstrate and maintain a strong understanding of applicable procurement regulations, especially the FAR, DFARS, and other applicable agency supplements
Provide support on Federal Supply Schedule (GSA Schedule) contracting issues
Support government contract compliance initiatives and develop policies and procedures for implementation of Federal, State & Local statutes and regulations, solicitation provisions, and contract clauses and requirements
Support dispute resolution with internal and external business and legal stakeholders as necessary
Stay current on relevant laws, regulations and trends in government contracting and provide analysis regarding potential impact on business goals and objectives
Serve as subject matter expert for responses to government contract/subcontract solicitations
Provide legal and process training to internal stakeholders regarding public sector matters
Support the continuous improvement of standard forms of agreement and legal processes pertaining to public sector
Be a trusted business partner providing timely, thoughtful and helpful responses to requests from internal customers
In order to be successful in this role, you are someone who has:
An undergraduate degree and law degree from highly-regarded schools
Active membership in at least one U.S. State bar
At least 5 years’ relevant experience at a major law firm and in-house, including negotiating technology and SaaS agreements related to government contracts
Excellent negotiating and influencing skills, and a talent for non-confrontational, win-win negotiations
Exceptional critical thinking abilities, with strong business acumen and excellent judgment; a drive to work independently, manage multiple priorities, and pivot between responsibilities in a fast-paced, high-growth environment
Excellent verbal and written communication skills with ability to distill complex issues clearly and communicate well both one-on-one and in groups, and in internal and external contexts
Desire for close collaboration with sales and sales support to close deals efficiently, with a practical approach
Proficient drafting and legal technical skills, with keen attention to detail
Firm understanding of revenue recognition principals
