The VP of Corporate Development’s primary responsibilities include sourcing, identifying, evaluating, valuing, structuring, and negotiating corporate development opportunities, including acquisitions, divestitures, and strategic alliances. Working closely with the Chief Financial Officer regarding the strategic fit, valuation, and structuring of opportunities.
The VP will acts as day-to-day lead across all aspects of the transaction process, including working with our advisors and internal team on the negotiation of transaction business points and legal documentation, the coordination of cross-functional teams during the due diligence and integration processes, and overall complex, cross-functional and process management required for M&A execution.
Surveillance of the market for potential targets that could be a strategic fit for R1
Identify and develop strong relationships with sourcing partners (e.g. investment bankers; industry players; investment funds; etc.) that can drive opportunities to R1
Build an extensive network of industry contacts to:
Stay on top of M&A trends in R1’s sector
Secure executive-level introduction meetings with targets’ top executives/owners
Monitor industry trends in partnership with Investor Relations
Assess alternative business models for current and future company offerings
Actively manage a pipeline of potential investments and acquisition opportunities
Work closely with the CFO to align the Corporate Development strategy with the overall business strategy.
Serve as a day-to-day lead across all aspects of the transaction process.
Work with internal partners to build financial analyses and models to evaluate potential transactions.
Lead jointly with business partners the negotiation of transaction terms and conditions. Lead, jointly with our Legal team, the structuring and negotiation of legal documents (e.g., Indication of Interest, Term Sheet, Letter of Intent, Asset Purchase Agreement/Stock Purchase Agreement, etc.)
Lead and coordinate due diligence efforts with cross-functional teams for investments and acquisitions.
This position is based in Chicago, IL and will require domestic and international travel up to 25%.
Required Qualifications & Skills:
Bachelor's degree required. MBA or equivalent degree preferred.
10+ years of experience in M&A, corporate development or venture capital required. Experience in the health care and technology industry strongly preferred.
Strong analytical and critical thinking skills.
Excellent relationship building and negotiation skills.
Business modeling and valuation competence.
Extensive deal management experience.
Strong command of typical M&A processes, including strategic evaluation, negotiation, structuring, due diligence and execution.
Ability to present, articulate, and defend analysis with key stakeholders. Excellent communication and facilitation skills.
