Position Overview

The Associate Counsel- Contracts is part of an integrated legal team that provides sound legal advice and business counsel to all levels of management and other employees on insurance matters, litigation management, new business initiatives and other contracts.

This position will report to the Vice President and Deputy General Counsel.

Essential Elements

Executive Counsel- Provide sound advice and counsel to management and other employees on contract or other legal issues impacting operations. Collaborate with multi-disciplinary teams on the creation and implementation of new business initiatives. Provide thought leadership and support in the areas of strategic projects, transactions and day-to-day business activities. Deal directly with clients, business partners and senior level management.
Contract Negotiations- Negotiate and draft reinsurance treaties and other contracts between affiliates and with outside parties, including domestic and foreign reinsurers. Provide legal support to the Claims Department and the Deputy General Counsel on large insurance claims.
Contract Management- Implement and manage a new company-wide contract management system
Litigation- Assist the Deputy General Counsel in oversight of litigation involving the organization


Education and Certifications
Juris Doctor degree from accredited law school required
Licensed to practice law required
Insurance professional designation (e.g. CPCU, CLU, FLMI) preferred
5-7 years of legal experience with a law firm, insurance or reinsurance organization required
Experience structuring and negotiating business transactions is required
Drafting and interpretation of complex corporate contracts and agreements; experience with reinsurance agreements, insurance agency contracts and other insurance documents is preferred
Contract management and procurement experience preferred
Recent experience in a strong customer-centric environment is preferred
Background in a variety of life, health, casualty and liability insurance products is preferred
Litigation and claim management for insurance company is preferred
Knowledge and expertise regarding the Affordable Care Act or Blue Cross Blue Shield system is preferred
