Overview: Under the general direction the Director – Corporate Governance and Shareholder Services, this position will be responsible for supporting all aspects of corporate governance and shareholder services for a NYSE listed, publicly-traded company. Core Responsibilities:
Drafting board and committee resolutions.
Assisting with preparation of proxy statement, 10-Q, 10-K and other public company filings.
Coordinating shareholder, board and committee meeting agendas, resolutions, and other materials.
Coordinating compliance with NYSE listing and Irish domicile standards and filings.
Maintaining calendars for board and committees.
Supporting other functions regarding disclosure, filing and compliance obligations including Treasury, Human Resources and Finance.
Maintaining vendor relationships including outside counsel, proxy solicitor, stock transfer agent and others.
Preparing and filing Section 16 reports (Forms 3, 4 and 5).
Assisting in response to inquiries regarding Section 16(a) reporting and Section 16(b) liability, the insider trading program, pre-clearance of executive transactions, and administration of the Insider Trading Policy and blackout policy.
Managing matters relating to the Annual Shareholders’ Meeting, including vendor relationships and meeting planning and logistics.
Proactively updating programs and policies.
Serving as primary point of contact for the company’s retail shareholders and stock plan participants.
At least 10 years of related paralegal experience with a large law firm or corporate law department.
Bachelor’s degree and a paralegal certificate / degree required.
Proficient in corporate governance and shareholder services practices and support, including familiarity with applicable laws and legal procedures.
Detail-oriented, self-motivated and analytical.
Demonstrated effective oral and written communication and organizational skills.
Strong organizational, problem-solving and interpersonal skills.
Experience managing outside counsel and vendors.
Experience in legal entity management a plus.
Must be able to multi-task, be flexible, and be able to prioritize and complete projects effectively and efficiently.
High proficiency in Microsoft Office Suite of products, library and database creation and maintenance.
Familiarity with CounselLink® web-based technology a plus.
Paralegal experience supporting international Fortune 500 operations advantageous.
