Provide a full range of legal support for acquisitions, divestitures, joint ventures and equity investments (M&A) by Emerson. The Associate General Counsel – M&A will lead, collaborate and interact with Corporate Development, business teams, other corporate functions and internal and external counsel to understand and effectively address complex legal issues; and advise on a wide variety of legal issues.

Provide full range of legal support for acquisitions, divestitures, joint ventures and equity investments
Review, negotiate and draft deal documents
Oversee legal due diligence
Develop expertise in, and manage, carveout processes and provide support for transition service agreements
Prepare, review and otherwise support antitrust and other government filings related to M&A transactions
Collaborate across businesses and corporate functional teams to drive results and solve legal issues
Interface and collaborate with foreign and domestic internal and external legal resources as well as manage outside M&A counsel
Assist in the formulation and implementation of strategies for M&A process improvements
Stay abreast of M&A industry and related laws, regulations and practices
Mentor administrative assistant, paralegals and other attorneys within the M&A law group
Provide any other support as required by VP – M&A

Additional Information
Travel: ~10% domestic/international Requirements
The Associate General Counsel – M&A must possess: superb communication, interpersonal and analytical skills; the ability to efficiently and effectively work under pressure to drive results; business knowledge and acumen; organizational savvy and resourcefulness.

Juris Doctorate from an accredited law school
Five to 10 years of law firm and/or corporate law department experience
Excellent communications, decision making, problem-solving skills
Strong leadership abilities as well as highly motivated, dedicated, accountable and practical
Required Licenses, Certificates, Registrations
Admitted to practice by and in good standing with at least one state bar
Eligible to practice as corporate counsel in Missouri

At least five years of substantive international M&A experience
Organizational savvy
Nimble learner
MBA or at least a base level of financial statement and corporate finance acumen
