Responsibilities:

Draft and negotiate transaction documents, purchase agreements, operating agreements, and commercial contracts

Assist with mergers, acquisitions, and other strategic transactions

Conduct due diligence and manage transaction workflows

Advise closely held businesses on corporate governance and operational matters

Support private equity, startup, and emerging growth company clients

Collaborate directly with partners and clients on sophisticated transactional matters
Qualifications:

J.D. from an accredited law school
-
4–8 years of corporate transactional experience

Experience with M&A transactions strongly preferred

Strong drafting, negotiation, and analytical skills
-
Ability to manage multiple matters simultaneously
