Global Investment Firm | New York
A premier, rapidly growing investment firm is conducting a confidential search for a senior-level General Counsel & Compliance Director to join its executive leadership team. This is a rare opportunity to step into a top legal and compliance leadership role at a sophisticated, multi-strategy investment platform with global reach. The successful candidate will serve as the firm’s principal legal advisor and the architect of its enterprise-wide compliance framework, working directly with the CEO, COO, and investment leadership.
Role Overview
The GC will oversee all legal, regulatory, and governance functions across the firm’s investment activities, fund structures, corporate operations, and investor relationships. This role is deeply embedded in strategic decision-making and plays a critical part in scaling the firm’s infrastructure while protecting its institutional integrity. You will lead complex transactions, shape compliance strategy across jurisdictions, and build durable systems that support long-term growth and investor confidence.
Key Responsibilities
Investment & Transactional Leadership
- Lead legal execution for private and public investment strategies, including direct investments, funds, co-investments, and secondaries
- Structure and negotiate equity, credit, hybrid, and structured transactions
- Oversee deal documentation, governance rights, diligence, and exit mechanics
- Manage external counsel globally with a focus on quality, speed, and cost efficiency
Fund Formation & Capital Infrastructure
- Oversee formation and structuring of funds, SPVs, and co-investment vehicles
- Lead drafting and negotiation of LPAs, subscription documents, PPMs, side letters, and amendments
- Design GP and management company governance and economics
- Manage LP onboarding, diligence processes, and MFN compliance
Regulatory Compliance & Risk Management
- Experience with US and global regulatory matters, including SEC, GDPR, FINRA, CFTC, and other relevant international bodies
- Oversee regulatory filings (Form ADV, Form PF, and related)
- Lead regulatory examinations, audits, and internal investigations
- Maintain policies related to fiduciary duty, insider trading, cybersecurity, and data privacy
Corporate Governance & Operations
- Advise on corporate governance, employment matters, technology partnerships, and vendor contracts
- Oversee entity management, board processes, D&O insurance, and corporate records
- Serve as corporate secretary and advisor to senior leadership and boards
Leadership & Firmwide Impact
- Partner with investment, operations, investor relations, finance, and capital formation teams
- Supervise internal legal resources and external compliance partners
- Lead firmwide training on legal, regulatory, and compliance matters
Candidate Profile
Experience & Credentials
- Juris Doctor (JD) from an accredited law school with strong academic credentials
- Active U.S. bar membership (NY required, or ability to waive into jurisdiction)
- 10–20+ years of experience in private funds, investment management, corporate law, or securities regulation
- Prior GC, Deputy GC, CCO, or senior in-house role within an investment firm, asset manager, or multi-family office highly preferred
- Deep expertise in venture capital, private equity, structured investments, and cross-border transactions
- Hands-on experience leading regulatory compliance programs and examinations

- Proven ability to build and scale institutional legal and compliance infrastructure
- Executive presence with strong judgment and risk awareness
- Highly organized, proactive, and comfortable operating in fast-moving environments

Compensation & Benefits
- Base Salary: $300,000 – $450,000
- Bonus & Carry Participation: Eligible
