A well-established private investment firm with over a decade of experience and a diverse portfolio of 30+ companies is seeking a high-caliber In-House Attorney to join its Brooklyn office. The firm focuses on private equity, middle-market direct lending, real estate, structured credit, and buyouts. This role is designed for a sharp, business-minded legal professional who can operate at a high level across transactions, compliance, and litigation. The ideal candidate will bring strong experience from a top-tier law firm (“Big Law”), with the ability to transition into a strategic in-house role supporting executive leadership.

Provide legal counsel to senior management on corporate, transactional, and regulatory matters

Advise on SEC filings, securities laws, and NASDAQ-related compliance

Support decision-making with a strong understanding of risk and business impact

Draft, review, and negotiate complex agreements across private equity and investment transactions

Lead and support mergers & acquisitions (M&A) activity

Oversee commercial contracts and corporate governance matters

Manage and oversee litigation, arbitration, and external counsel

Identify legal risks and implement preventative strategies to protect the firm

Ensure compliance with all applicable laws and regulatory requirements

Oversee legal operations, processes, and documentation

Maintain strict confidentiality across all business matters

Collaborate cross-functionally with internal teams and external stakeholders

Active New York Attorney License

Strong background in corporate law, securities law, and litigation

Experience with SEC filings and public company compliance (NASDAQ exposure preferred)

Proven experience in M&A and complex transactions

Salary: $350K-450K plus benefits
