We are a fast-moving, highly collaborative company headquartered in Houston, Texas, with team members distributed globally.
We are seeking an experienced In-House Legal Counsel to join our growing team. This is a high-impact role that will own the full lifecycle of commercial contracts, advise leadership on legal and regulatory matters, and help build scalable legal processes as the company continues to grow.
You will work directly with executive leadership, sales, finance, product, and engineering teams and play a key role in managing legal risk while enabling business growth.
Important Requirements
Candidates must currently reside in the United States.
Candidates must be legally authorized to work in the United States without sponsorship.
Preference will be given to candidates who are available to start immediately or on short notice.
Key Responsibilities.
Contract Drafting
- Draft, review, and negotiate a broad range of commercial agreements, including:
- Master Service Agreements (MSAs)
- SaaS Subscription Agreements
- Non-Disclosure Agreements (NDAs)
- Vendor Agreements
- Statements of Work (SOWs)
- Partnership Agreements
- Develop and maintain standard contract templates and legal playbooks.
- Ensure agreements align with company policies, risk tolerance, and applicable laws.
Contract Review & Negotiation
- Lead review and redlining of inbound contracts from customers, vendors, and strategic partners.
- Negotiate directly with counterparties and external legal counsel.
- Advise internal stakeholders on legal risks and recommended contract positions.
- Balance business objectives with appropriate legal protections.
Contract Lifecycle Management
- Manage contracts from initial drafting through execution.
- Track open issues and coordinate approvals across departments.
- Oversee signature workflows and contract records.
- Improve and maintain contract management processes and systems.
General Corporate & Commercial Legal Support
- Serve as the primary legal resource for day-to-day business matters.
- Advise on:
- Commercial transactions
- Data privacy regulations (GDPR, CCPA, etc.)
- Employment-related matters
- Regulatory compliance issues
- Corporate governance
- Support board matters and corporate entity maintenance.
- Identify and proactively manage legal risks across the organization.
Intellectual Property & Risk Management
- Oversee the company’s intellectual property portfolio, including:
- Trademarks
- Copyrights
- Trade secrets
- Patents (where applicable)
- Draft and negotiate IP-related contractual provisions.
- Advise on ownership, licensing, indemnification, and protection strategies.
- Review insurance requirements in commercial agreements.
- Partner with the VP of Finance to manage:
- General Liability Insurance
- Directors & Officers (D&O)
- Errors & Omissions (E&O)
- Cyber Liability
- Employment Practices Liability Insurance
Required Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Active Bar admission in good standing.
- 5+ years of legal experience.
- Significant experience working either:
- In-house, or
- At a law firm handling commercial transactions.
- Extensive experience drafting and negotiating complex commercial agreements independently.
- Strong knowledge of contract law.
- Deep understanding of intellectual property ownership, licensing, and protection.
- Excellent written and verbal communication skills.
- Ability to translate legal concepts into practical business guidance.
- Strong organizational skills and ability to manage multiple priorities simultaneously.
- Ability to work independently with minimal supervision.
Preferred Qualifications
- Experience serving as in-house counsel for a technology company or SaaS business.
- Strong understanding of SaaS business models and subscription agreements.
- Experience supporting startups or high-growth organizations.
- Familiarity with technology licensing and software-related legal issues.
- Experience advising on data privacy regulations and compliance frameworks.
