Join a growing Transaction Advisory practice focused exclusively on lower middle-market M&A transactions. Our team partners with private equity firms, strategic buyers, lenders, and privately held businesses to deliver Quality of Earnings reports, financial due diligence, and sell-side advisory for transactions ranging from $10MM to $100MM+.
We're looking for a hands-on Transaction Advisory professional who enjoys leading engagements, interacting directly with clients, and helping business owners navigate the transaction process from beginning to close.
This role is ideal for someone currently working in Transaction Advisory, Financial Due Diligence, or Deals Advisory at a public accounting or advisory firm who wants greater autonomy, direct client exposure, and an opportunity to help build a growing practice.
Responsibilities
Lead buy-side and sell-side financial due diligence engagements from kickoff through final deliverables.
Prepare and review:
- Quality of Earnings analyses
- EBITDA adjustments
- Working capital analyses
- Cash flow analyses
- Revenue and margin analyses
- Customer and vendor concentration
- Net debt schedules
Analyze financial statements prepared on cash, tax, and accrual bases and normalize results for transaction purposes.
Partner directly with business owners, private equity firms, lenders, attorneys, investment bankers, and strategic buyers throughout the diligence process.
Present findings and recommendations to clients and transaction stakeholders.
Manage multiple engagements simultaneously while mentoring associates and seniors.
Contribute to practice development and continuous improvement initiatives.
Required Experience
To be considered, candidates should have:
- CPA designation.
- 5+ years of Transaction Advisory Services or Financial Due Diligence experience within a CPA or advisory firm.
- At least 2 years of dedicated experience preparing external client-facing Quality of Earnings reports.
- Experience leading buy-side financial due diligence engagements.
- Experience preparing EBITDA adjustments and working capital analyses.
- Strong understanding of lower middle-market transactions.
- Advanced Excel skills.
- Experience working with QuickBooks, cash-basis, tax-basis, and accrual accounting.
- Excellent communication skills and ability to present findings to clients.
Preferred Experience
- Experience serving privately held businesses between $10M–$100M enterprise value.
- Experience working with owner-operated businesses and imperfect accounting records.
- Experience mentoring staff and reviewing deliverables.
- Familiarity with AI tools (Claude, ChatGPT, Microsoft Copilot, etc.) to improve financial analysis and workflow efficiency.
Pay: $160,000.00 - $200,000.00 per year
