Corporate Paralegal
Our client is seeking an experienced Corporate Paralegal to join its Raleigh office. This position supports attorneys across a broad range of business and transactional practice areas, including corporate governance, mergers and acquisitions, emerging companies, private investment transactions, regulatory compliance matters, intellectual property-related transactions, securities matters, and other general corporate work.
The ideal candidate will be highly organized, detail-oriented, and capable of managing multiple projects simultaneously while providing substantive support throughout the lifecycle of corporate and transactional matters.
Responsibilities
- Draft, revise, proofread, and format a variety of legal and business documents, including correspondence, memoranda, corporate records, organizational documents, reports, and transaction-related materials.
- Research and analyze business registration, licensing, and compliance requirements across multiple jurisdictions.
- Prepare and coordinate applications, registrations, renewals, and related filings for businesses operating in regulated industries.
- Form, qualify, maintain, dissolve, and withdraw corporations, limited liability companies, partnerships, and other business entities in various jurisdictions.
- Assist with corporate governance matters, including maintaining minute books, entity records, resolutions, annual filings, and organizational documents.
- Obtain and review UCC, lien, and other due diligence searches in connection with financing and transactional matters.
- Support mergers, acquisitions, investments, financings, and other corporate transactions by organizing due diligence materials, preparing closing documents, and coordinating transaction logistics.
- Assist attorneys with the preparation and management of closing checklists, signature packets, and post-closing deliverables.
- Assemble and organize electronic and physical closing binders and transaction records.
- Provide support on regulatory and compliance matters involving business operations and licensing requirements.
- Assist with business filings and documentation related to corporate and commercial real estate transactions when needed.
- Maintain organized electronic and hard-copy files, ensuring accurate document management and record retention.
Qualifications
- Associate's degree, bachelor's degree, paralegal certificate, or equivalent combination of education and experience preferred.
- North Carolina Certified Paralegal designation is a plus.
- Minimum of five years of corporate, transactional, business, or related paralegal experience.
- Strong understanding of corporate entity structures, business registrations, governance matters, and regulatory compliance requirements.
- Experience preparing and managing entity formation documents, qualification filings, licensing applications, and transactional documentation.
- Familiarity with due diligence processes and supporting complex business transactions.
- Strong research and analytical skills, with the ability to interpret regulatory requirements and business filing obligations.
- Exceptional organizational skills and attention to detail.
- Ability to manage multiple projects and deadlines in a fast-paced environment.
- Self-motivated with the ability to work independently while collaborating effectively with attorneys, clients, and colleagues.
- Excellent written, verbal, and interpersonal communication skills.
Technical Skills
- Proficiency with Microsoft Office applications, including Outlook, Word, Excel, and PowerPoint.
- Experience with document management, electronic signature, and collaboration platforms.
- Familiarity with legal document databases, corporate records systems, and transaction management tools.
- Strong technology skills and the ability to learn new software quickly.

Pay: $75,000.00 - $100,000.00 per year
