Role Overview
We are seeking an accomplished Senior Vice President of Legal & Compliance to join our executive team and lead all legal, regulatory, and compliance matters across the Axvor portfolio. Reporting directly to the CEO, this role is critical to supporting our growth strategy, managing enterprise risk, and ensuring sustainable business practices across our operating companies.
Key Responsibilities
Customer Contracts & Commercial Law
- Lead negotiation, drafting, and review of customer contracts, service agreements, and commercial arrangements; ensure terms align with business objectives and risk tolerance
- Manage relationships with key customers on complex contract matters; provide strategic counsel on pricing, liability, and operational terms
- Oversee contract compliance and administration across operating companies; develop standardized templates and playbooks to improve speed-to-market
M&A & Corporate Transactions
- Lead legal diligence for acquisition targets and structure transactions to optimize tax and operational outcomes
- Negotiate purchase agreements, representations and warranties insurance, earn-out provisions, and post-closing covenants
- Coordinate with external counsel, investment bankers, and accounting firms on all transaction-related matters
- Manage integration legal matters post-acquisition, including entity restructuring and regulatory filings
Employment Law & Labor Relations
- Oversee employment law compliance, including wage-hour regulations, classification, benefits, and leave administration across all operating companies
- Manage collective bargaining agreements and labor negotiations (currently including UAW Local 600 CBA); develop labor strategy aligned with business goals
- Handle workplace disputes, investigations, and litigation; serve as primary counsel on sensitive personnel matters
- Advise HR and operations on policy development, risk mitigation, and compliance with federal and state employment laws
Regulatory & Compliance
- Ensure compliance with transportation, logistics, and staffing regulations (DOT, OSHA, EEOC, FCRA, etc.)
- Develop and maintain enterprise compliance programs; monitor regulatory changes and implement necessary updates
- Manage litigation and external counsel relationships; control legal spend and evaluate legal strategy
Required Qualifications
- 5+ years of in-house counsel or law firm experience, with deep expertise in customer contracts and commercial law
- Significant M&A transaction experience (5+ transactions); comfort leading acquisitions from legal due diligence through closing
- Strong employment law background, including wage-hour compliance, labor relations, and union negotiations
- Experience in transportation, logistics, staffing, or automotive sectors strongly preferred
- Juris Doctor from an accredited law school; active bar membership required
- Demonstrated ability to lead teams and manage cross-functional initiatives
- Executive presence; ability to communicate complex legal concepts to non-legal stakeholders
Preferred Qualifications
- Experience with private equity-backed companies or portfolio company management
- Knowledge of labor union dynamics and collective bargaining
- Prior P&E or general counsel role at a mid-market company
