Location:
New York City, NY – Hybrid schedule with three days in the office and flexibility to work remotely the remainder of the week.

Job Description
- Draft documents for public and private securities offerings.
- Prepare SEC filings and disclosure documents.
- Advise clients on securities law compliance and corporate governance matters.
- Conduct legal research involving federal and state securities laws.
- Assist with capital markets transactions from inception through closing.
- Analyze disclosure obligations under the Securities Act, Exchange Act, and related SEC regulations.
- Collaborate with partners, clients, and outside counsel on sophisticated corporate matters.
- Utilize legal research tools and resources to support client matters.
- Manage multiple assignments while delivering exceptional client service.
Qualifications
- JD from an accredited law school.
- Bachelor's degree.
- Active admission to the New York Bar.
- Approximately 1+ years of securities and capital markets experience.
- Law school graduation approximately between 2021 and 2023.
- Experience at a highly regarded New York law firm's securities practice.
- Strong understanding of the Securities Act of 1933, Securities Exchange Act of 1934, Regulations S-K, S-X, and M-A.
- Excellent legal writing, analytical, research, and communication skills.
- Outstanding academic credentials.
- Stable law firm employment history strongly preferred.
