Kaplan Advisory Partners is seeking a motivated, detail-oriented Associate Attorney to join its transactional legal practice, with a focus on real estate and corporate matters. This role is ideal for an attorney who enjoys drafting, negotiating, problem-solving, and helping clients navigate business and property-related transactions from start to finish.
The Associate Attorney will support a broad range of transactional matters, including real estate acquisitions and dispositions, leasing, financing, entity formation, corporate governance, commercial contracts, due diligence, and general business advisory work. The ideal candidate will have strong drafting and analytical skills, excellent attention to detail, and the ability to provide practical, business-minded legal support to clients.
Responsibilities
Draft, review, revise, and negotiate transactional documents, including purchase and sale agreements, leases, amendments, assignments, financing documents, operating agreements, corporate resolutions, service agreements, vendor contracts, and client correspondence.
Assist with real estate transactions, including due diligence, title and survey review, closing checklists, closing deliverables, and coordination with clients, brokers, lenders, title companies, and opposing counsel.
Support corporate and business matters, including entity formation, corporate governance, operating agreements, shareholder agreements, commercial contracts, business acquisitions, and general advisory matters.
Conduct legal research and analysis on real estate, corporate, contract, regulatory, and business law issues.
Manage transaction timelines, document versions, signature pages, closing sets, diligence materials, and post-closing deliverables.
Communicate professionally with clients, counterparties, and third-party service providers to move transactions forward efficiently.
Identify legal and business issues in transaction documents and assist in developing practical solutions aligned with client objectives.
Prepare memoranda, summaries, and recommendations regarding contract terms, transaction risks, and legal requirements.
Maintain organized matter files and support efficient firm workflows, templates, and client-service processes.
Work directly with firm leadership on sophisticated transactional matters and firm-growth initiatives.
Qualifications
Juris Doctor degree from an accredited law school.
Admission to at least one state bar, or eligibility for admission, is required.
Experience or demonstrated interest in transactional law, particularly real estate and corporate matters.
Strong contract drafting, review, and negotiation skills.
Familiarity with real estate transactions, leases, title, survey, diligence, closings, entity formation, governance documents, and commercial agreements is preferred.
Excellent legal research, writing, analytical, and communication skills.
Ability to manage multiple transactions, deadlines, and client priorities in a fast-paced environment.
Strong attention to detail, organizational skills, and ownership over assigned work.
Comfort working directly with clients, opposing counsel, brokers, lenders, title companies, accountants, and other transaction participants.
Proficiency with Microsoft Office, document-management tools, legal research platforms, and transaction or matter-management systems.
Sound judgment, discretion, professionalism, and commitment to client confidentiality.
