We are looking for an experienced Fund In House Counsel to join a Boston, Massachusetts-based team on a Contract basis. This role focuses on providing practical legal guidance across fund formation, investment documentation, and regulatory matters within an investment management environment. The ideal candidate brings strong judgment, clear communication skills, and the ability to work closely with internal stakeholders and external legal partners in support of fund activity and related transactions.
Responsibilities:
- Provide legal counsel on the establishment and organization of investment funds, including support for structuring considerations and investor-facing materials.
- Prepare, analyze, and negotiate a range of legal documents tied to investment activities, such as subscription agreements, confidentiality agreements, and side arrangements.
- Interpret and advise on applicable securities regulations, including matters arising under the Investment Company Act of 1940 and the Investment Advisers Act.
- Coordinate legal support for regulatory compliance obligations, including required disclosures, filings, and interactions connected to oversight bodies.
- Guide legal workstreams associated with significant fund closings to help ensure accurate documentation and timely execution.
- Partner with investment teams during transactions by assisting with diligence reviews and legal considerations related to deal completion.
- Oversee relationships with external counsel, including support for budgeting, scope management, and quality of deliverables.
- Help develop internal legal guidance, policies, and educational resources to strengthen awareness of regulatory and contractual obligations.
- Active attorney license with experience practicing in corporate, investment management, or fund-related legal matters.
- Demonstrated background reviewing and negotiating commercial contracts and other legally binding agreements.
- Strong understanding of fund documentation, investor agreements, and legal issues related to investment vehicles.
- Working knowledge of U.S. securities laws and regulations relevant to private funds and investment advisers.
- Experience supporting complex fund closings and coordinating multiple legal stakeholders effectively.
- Ability to communicate clearly with business teams, outside counsel, and other partners while managing priorities in an organized manner.
- Proven drafting skills with the ability to identify legal risk and provide practical, business-oriented recommendations.
