You'll work directly with attorneys and clients on:

This is a highly visible role where your expertise, organization, and attention to detail will have a direct impact on client success.
What You'll Be Doing
- Coordinate and manage complex transactional closings from start to finish
- Prepare and organize closing checklists, schedules, exhibits, and closing binders
- Assist attorneys with M&A transactions, loan transactions, and commercial real estate closings
- Draft and prepare corporate resolutions, consents, certificates, agreements, and organizational documents
- Conduct due diligence reviews and summarize findings
- Prepare entity formations and multi-state corporate filings
- Handle UCC filings, lien searches, and corporate records requests
- Coordinate with lenders, title companies, clients, and outside parties to keep transactions moving efficiently
- Maintain electronic files, data rooms, and post-closing documentation
What We're Looking For
This is not a general corporate paralegal position.
To be successful, candidates should have:
- 10+ years of corporate transactional paralegal experience
- Significant law firm experience supporting transactional attorneys
- Direct experience with M&A transactions and complex closings
- Commercial lending transaction experience
- Strong experience with due diligence and corporate governance documentation
- Ability to work independently with minimal supervision
- Exceptional organization, professionalism, and attention to detail
- Paralegal Certificate required
