We are a growing business law firm and corporate legal practice representing privately held companies across a broad range of industries. Our practice includes corporate transactions, commercial contracts, employment matters, real estate, mergers and acquisitions, business disputes, and general outside counsel services.
We are seeking an experienced Corporate / Commercial Attorney to join our team on a project, contract, or part-time basis, with the opportunity for a long-term relationship based on performance and business needs.
Position Overview
This position is ideal for an attorney who enjoys sophisticated business work while maintaining flexibility. Depending on experience and workload, assignments may include transactional matters, commercial disputes, outside general counsel services, and strategic legal advisory work.
The workload will vary based on active projects and client needs.
Responsibilities
- Draft, review, and negotiate commercial agreements, including:
- Service agreements
- Vendor and supplier agreements
- NDAs
- Licensing agreements
- Purchase and sale agreements
- Operating agreements
- Corporate governance documents
- Advise businesses on day-to-day legal and operational issues.
- Handle pre-litigation commercial disputes, demand letters, settlement negotiations, and risk assessments.
- Manage or assist with business litigation strategy in coordination with outside litigation counsel.
- Conduct legal research and prepare memoranda.
- Support mergers, acquisitions, financing transactions, and other corporate matters.
- Communicate directly with business owners, executives, and management teams.
Qualifications
Required
- J.D. from an accredited law school.
- Active California Bar license in good standing.
- Minimum 5 years of experience practicing corporate, commercial, or business law.
- Strong legal drafting and analytical skills.
- Ability to independently manage projects and meet deadlines.
- Excellent written and verbal communication skills.
Preferred
- Experience serving as outside general counsel.
- Experience with commercial litigation or dispute resolution.
- Experience with M&A transactions and corporate restructuring.
- Familiarity with employment, real estate, and contract law issues affecting privately held businesses.
- Business-minded approach with practical problem-solving skills.

Compensation is competitive and will be based on:
