We are a Phoenix law firm with approximately 60 attorneys seeking a highly skilled corporate paralegal to support our corporate transactions group, which handles sophisticated transactions ranging from strategic and financial M&A deals to angel and venture capital financings, joint ventures, debt offerings, and other complex commercial matters. This position will also be an integral part of our outside general counsel services, supporting attorneys and working directly with clients on corporate governance matters, sophisticated contracting, and other day-to-day needs.
Essential Functions
The essential functions involved include, but are not limited to:
- Forming and organizing domestic and foreign corporations and limited liability companies.
- Preparing and filing annual reports.
- Preparing Board and Stockholder Consents and other documents for public and private companies.
- Maintaining company minutes and records.
- Preparing and filing multi-jurisdictional corporate filings.
- Reviewing agreements.
- Preparing transactional closing documents and checklists.
- Collecting and organizing due diligence materials for transactions.
- Managing diligence materials in Virtual Data Rooms.
- Coordinating closings.
- Preparing closing books.
- Preparing multi-jurisdictional Blue Sky research and related memoranda.
- Preparing and filing Forms D with the SEC and state regulators.
- USPTO Trademark filings.
Requirements
- Five or more years corporate paralegal experience in a corporate or law firm environment.
- Bachelor's Degree.
- Paralegal certificate or applicable corporate experience.
- The ability and desire to multi-task and adjust to shifting priorities in a multi-leader, collaborative team-based environment.
- The ability and desire to work directly with clients.
- Motivation and self-direction.
- Attention to detail.
- Strong organizational and time-management skills.
- Excellent verbal and written communication skills.
- Proficiency with essential software, including Word, Excel, Outlook, Adobe and DocuSign. Experience with Carta and other cap table management systems, a plus.
- Familiarity with AI platforms generally, and specifically their application in a law firm environment, a plus.
