Position: CORPORATE LAW PARALEGAL

Location: Westlake OH (private, no-cost parking)
THIS IS NOT A “WORK-FROM-HOME” Position
Schedule:
Monday – Friday 8-5; additional hours as needed
OT is paid at 1.5 after 40 hours;
must have some flexibility in schedule to meet the needs of the assigned Attorneys
Pay: Commensurate with experience

Experience / Training Requirements:
- Minimum required experience: 2 years experience as a corporate paralegal
- Alternative: Bachelors Degree in Paralegal Studies or a Certificate of Completion for an accredited Paralegal program

- Ability to receive and execute instructions accurately and with strong attention to detail
- Ability to multi-task and manage workload, including providing updates on status of in-process projects
- Ability to develop and maintain client relationships
- Ability to properly manage internal deadlines and governmental and other similar agency filing deadlines and requirements
- Must be willing to share office space and still be able to remain focused on individual job duties
- Proficient in Microsoft Office Suite, Adobe, Excel, Outlook, Word (Word Perfect experience a plus)
- Excellent proof-reading skills
- Strong knowledge and experience using Outlook and managing attachments in a variety of formats
Job Duties – include, but are not limited to
- Provide support to one or more attorneys as needed
- Prepare and file formation documents, including Articles of Incorporation and/or Articles of Organization for corporations and limited liability companies and preparation of Record Books for newly-formed entities
- Maintain and update Corporate Record Books for existing entities
- Prepare corporate Minutes
- Prepare Share Certificates as part of initial issuance, as well as future stock transfers
- Prepare and maintain Share Journal and ledgers
- Type from dictation and/or hand-written notes as needed
- Obtain Federal ID numbers / complete Form SS-4
- Create and update corporate entity charts using excel and similar programs
- Assist Attorney in preparing and assembling ancillary documents required during the process of contract and transaction negotiations (for example, Bills of Sale, Assignments, Minutes, Closing Certificates and closing binders, following up with various parties to obtain documents, track status of documents sent for signature and similar follow up)
- Assist Attorney in distributing final copies of documents to third parties and client upon the closing of a contract or transaction negotiation. after the completion of a contract or transaction containing copies of final documents)
- Maintain and organize client files and Record Books
- Assist in the retrieval of documents within client files and Record Books as requested by Attorney
- Ability to prepare brief, non-technical correspondence such as transmittal and instructional letters and memos
