Latitude is assisting a leading, high-growth company in the energy and advanced technology sector with an immediate need for an experienced Corporate Counsel to support complex joint ventures and strategic partnerships, along with related governance and transactional matters, on an engagement basis.
This engagement role is heavily focused on structuring, negotiating, and managing sophisticated joint ventures, particularly within energy or other regulated industries. The ideal candidate will bring deep, hands-on experience with JV formation and lifecycle management, along with the ability to navigate governance across multi-entity, multi-jurisdictional structures.
Experience with corporate governance and M&A will be important in supporting the broader legal and business objectives.
Key Responsibilities:

Lead the structuring, negotiation, and ongoing management of complex joint ventures and strategic partnerships, including multi-entity and cross-border arrangements
- Support governance across a complex portfolio of entities, including subsidiaries, partnerships, and joint ventures, ensuring compliance with applicable laws and internal standards
- Advise on corporate governance frameworks, entity management, and best practices across multiple jurisdictions
- Oversee entity formation, maintenance, and restructuring, coordinating with external counsel and corporate service providers
- Support M&A and strategic transactions, including due diligence, transaction structuring, and post-closing integration
- Partner with internal stakeholders on legal and operational considerations related to complex corporate structures and regulated environments
Qualifications:

J.D. and active bar membership
- 7–10+ years of experience in corporate/transactional law
- Significant, hands-on experience with complex joint ventures and partnership structures (required)
- Strong background in corporate governance and multi-entity structures
- Experience supporting M&A transactions
- Experience in energy, infrastructure, or other regulated industries strongly preferred
- Ability to operate independently and manage multiple stakeholders in a fast-paced environment

Compensation:
Pay: The annualized pay for this position ranges from $225,000 – $280,000+ when calculated on a full-time basis. Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).
Benefits: In addition to pay, all Latitude contract professionals receive complimentary professional liability insurance coverage. Latitude contract professionals are usually W2 employees of Latitude and are eligible for full benefits when working in roles for 20 hours per week. Benefits-eligible Latitude contract professionals receive complimentary Group Life, LTD and AD&D. A qualified 401k plan is also available. Benefits-eligible Latitude Attorneys also receive a CLE and Professional Expense stipend.
