A highly respected New York City law firm is seeking a Corporate M&A Associate with 3+ years of experience to join its sophisticated transactional practice. Compensation & Benefits
Salary Range: $165,000 - $190,000, commensurate with experience.

Qualifications
-
J.D. from an accredited law school.

Active membership in the New York Bar and good standing.

Minimum of 3 years of corporate M&A experience at a law firm.

Strong drafting and negotiation skills with experience handling core transaction documents.

Experience managing due diligence workstreams and coordinating with clients and deal teams.

Ability to manage multiple transactions simultaneously in a fast-paced environment.

Exceptional analytical, communication, and client service skills.
Key Responsibilities
-
Support and lead deal processes involving mergers, acquisitions, stock purchases, asset purchases, and joint ventures.

Assist with strategic investments, venture capital transactions, and private equity matters.

Draft, review, and negotiate letters of intent, purchase agreements, disclosure schedules, and ancillary transaction documents.

Manage legal due diligence processes, including reviewing diligence materials, identifying key risks, and preparing summaries and issue lists.

Coordinate transaction closings, including checklists, signature packages, deliverables, and related logistics.

Work closely with tax, employment, intellectual property, and real estate specialists to identify and resolve transaction-related issues.

Review and advise on commercial agreements and general corporate matters.

Support ongoing corporate governance and entity management work for clients.
