Join a lean, high-ownership Legal, Compliance, and Counterparty Governance team where your commercial lending transaction experience will directly create speed, clarity, and capacity for a growing real estate credit business. This is a hands-on paralegal role for someone who has been “around the block” on loan transactions, knows how to keep closings moving, and can serve as a trusted legal operations partner to attorneys, business stakeholders, title companies, counsel, and transaction teams.
This is a full-time, in-office role based in Manhattan, supporting a collaborative New York team that is operating with startup-level pace and ownership. You will work closely with the Legal, Compliance, and Counterparty Governance team and loan transaction stakeholders across origination, closing, post-closing, servicing, asset management, entity management, and legal operations.
The ideal candidate is a senior transactional paralegal with substantial commercial loan experience—especially in debt, credit, real estate finance, or related high-volume transaction environments. You should be comfortable taking initiative, managing details independently, asking sharp questions, and helping a fast-moving team build reliable legal processes without needing every step handed to you.
- Support commercial loan transactions from origination through closing.
- Order and review UCC, tax lien, judgment, and litigation searches.
- Order and review title commitments and surveys.
- Coordinate clearance of liens, encumbrances, and title objections with title companies, outside counsel, and internal stakeholders.
- Assist with drafting, revising, proofreading, formatting, and redlining transaction documents.
- Work with documents such as promissory notes, mortgages or deeds of trust, loan agreements, guaranties, and UCC financing statements.
- Coordinate closing logistics and help keep transaction workstreams organized and on track.
- Prepare closing binders, document sets, and related closing materials.
- Oversee recording of mortgages and UCC-1 financing statements.
- Track and manage post-closing conditions, follow-ups, and deliverables.
- Assist with loan servicing and asset management matters, including UCC continuation filings, lien releases, assignments, subordinations, estoppels, and loan modifications.
- Manage legal entity registrations and renewals.
- Help ensure company and client entities remain in good standing.
- Maintain company records, Legal/Compliance/Counterparty Governance files and folders, corporate structure charts, and form libraries.
- Coordinate signature requests, including wet-ink signatures, electronic signatures through DocuSign, and notarizations.
- Manage law firm onboarding processes and support intake, review, tracking, and approvals for legal bills.
- Intake and log service of process for litigation matters and other corporate or asset-level notices.
- Participate in meetings, actively listen, and take professional, accurate notes.
- Support legal team projects, research assignments, administrative workflows, and organizational initiatives as needed.
- 5+ years of paralegal experience in a law firm, financial institution, and/or in-house legal department.
- Substantial experience supporting commercial loan transactions.
- Strong familiarity with UCC searches and filings, title review and clearance, loan documentation, closings, and post-closing matters.
- Corporate and transactional practice experience, ideally with exposure to commercial lending, real estate finance, debt, credit, or other complex transaction work.
- Experience managing legal entities, corporate recordkeeping, registrations, renewals, and good-standing requirements.
- Strong writing, research, communication, critical thinking, organizational, and time-management skills.
- Ability to work independently and efficiently while collaborating closely with legal and business stakeholders.
- High attention to detail and comfort working on documents where accuracy, signature blocks, deadlines, and process discipline matter.
- Proficiency with Microsoft Office, especially Word, Excel, and PowerPoint, as well as Adobe Pro.
- Experience supporting loan servicing or asset management matters, including UCC continuations, lien releases, assignments, subordinations, estoppels, and loan modifications.
- Real estate transactional experience.
- Litigation support exposure, especially around service of process or corporate/asset-level notices.
- Experience with DocuSign, monday.com, Confluence, Jira, and/or G Suite.
- Interest in helping a team refine templates, workflows, and legal operations processes as the business scales.
