Draft, review, and file corporate documents including incorporation/formation documents, bylaws, operating agreements, annual reports, and board/shareholder resolutions.
Manage entity formations, qualifications, mergers, dissolutions, and other corporate filings with state and federal agencies.
Conduct legal research and maintain corporate compliance for a portfolio of clients.
Assist with due diligence for mergers, acquisitions, financings, and other transactions.
Organize, maintain, and update corporate records, stock ledgers, and minute books.
Support attorneys in preparing for closings, including drafting checklists and compiling signature pages.
Liaise with clients, opposing counsel, and government agencies to ensure timely and accurate document filings.
Monitor deadlines and filing requirements to ensure compliance with applicable laws and regulations.
